Beta Products Term Sheet

The following terms and conditions (“Term Sheet”) apply to all beta products and features made available by JobTarget (“Beta Products”) and are incorporated by reference into the applicable Service Order and form part of the Agreement with the Client, along with JobTarget’s General Terms and Conditions, Terms of Use and Privacy Policy. Beta Products for which this Term Sheet applies will be labeled as such or notice will be provided by JobTarget that a product or feature is a Beta Product. This Term Sheet further applies to the purchase or use of services through JobTarget’s website. JobTarget may modify these terms at any time. By continuing to use JobTarget’s services, you are agreeing to any such modified terms.
Services
Beta Products are made available on a trial basis and are experimental, pre-release versions, which may be offered to select Clients free of charge for evaluation and feedback purposes. Availability of Beta Products may be limited in duration, features, and user access. JobTarget may discontinue or cancel all or part of a Beta Product at any time without prior notice. Client agrees that any feedback provided to JobTarget regarding performance, usability, and suggestions for the Beta Products may be used by JobTarget without obligation of compensation or attribution to Client. By providing feedback or opinions about the Beta Products or about JobTarget’s website or services, Client grants JobTarget a nonexclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right and license to use such feedback or opinions.
ANY BETA PRODUCT IS IN TESTING PHASE AND IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND MAY CONTAIN DEFECTS. A PRIMARY PURPOSE OF TESTING A BETA PRODUCT IS TO OBTAIN FEEDBACK ON PERFORMANCE. CLIENT IS ADVISED TO USE CAUTION AND NOT RELY IN ANY WAY ON THE CORRECT FUNCTIONING OR PERFORMANCE OF THE BETA PRODUCT.
Artificial Intelligence
Certain Beta Products may include features powered by artificial intelligence, automation, and/or machine learning technologies (collectively, “AI”), which may be provided by third-party providers or incorporate systems maintained by third-party providers. Client acknowledges that AI-generated outputs may not be free from bias, inaccuracies, or errors. AI generated outputs should be reviewed, including human review where appropriate, prior to any reliance upon or decision-making. Client is solely responsible for ensuring its use of AI tools complies with applicable employment, anti-discrimination, and privacy laws. JobTarget does not make any decisions on behalf of the Client. All hiring decisions remain solely and exclusively with the Client. You agree that your inputs and content generated by AI in response to your inputs are considered Content as defined in the Agreement and JobTarget’s terms and conditions. AI generated output is provided “as is” and JobTarget makes no warranty or guarantee that AI generated output is appropriate, accurate, inoffensive, unbiased, non-infringing, legal, or safe, and disclaims all liability for AI generated output. Client agrees to defend, hold harmless and indemnify JobTarget from any claim arising from Client’s use or misuse of AI generated content or AI features.
Acceptable Use
Client agrees that the Beta Product(s), including any embedded AI features, will not be used:
- In any manner that violates employment, labor, anti-discrimination laws or other applicable laws and regulations;
- To produce or transmit content that is unprofessional, offensive, or discriminatory;
- To misuse, scrape, or extract data from job seekers or candidates in unauthorized ways;
- To contact job seekers and candidates about anything other than legitimate and current job openings;
- To contact job seekers and candidates for any types of illegal services or jobs which require any type of payment from the job seeker or candidate;
- To send messages, emails or text messages or make phone calls to job seekers or candidates that are excessive in frequency or unrelated to job openings or to job seekers or candidates who have indicated that such communications are unwanted; or
- To send messages that are unprofessional, derogatory, insensitive, racist, sexist, or use other types of potentially offensive language.
Data
- By viewing, sending, receiving, or storing communications, documents, and information (“Data”) through use of the Beta Products, Client agrees that such Data may be collected, processed, analyzed, reviewed and stored by JobTarget and/or its third-party vendors for analysis, quality control and performance, operation or improvement of the product and services, content moderation, or enforcement of JobTarget policies or terms, which may include the use of AI to perform such functions, in accordance with JobTarget’s Privacy Policy.
- Client agrees that its use of Data must be in compliance with applicable privacy and data protection laws.
