Job Description

EBARA HG is seeking a Contracts Specialist to join our Finance team on a 15-month contract to provide maternity leave coverage. This full-time, fixed-term position offers the opportunity to gain hands-on experience in contract administration, corporate governance, and risk management within an established industrial manufacturing organization.

The Contracts Specialist will provide legal and contractual support in collaboration with the COO and VP of Sales, and will identify and manage risk within the organization by developing and applying appropriate controls. The successful candidate will be well-versed in legal terminology and contractual agreements, with a background in contract administration. This role works closely with procurement and sales managers to ensure that contracts comply with legal requirements and operational objectives.

Responsibilities and Duties

The responsibilities and accountabilities of the position include, but are not limited to, the following:

Contracts Management

  • Draft, review, and negotiate various contracts, including vendor agreements, service contracts, and non-disclosure agreements.
  • Review and revise contracts to ensure compliance with the company's risk tolerance, internal client needs, and applicable laws.
  • Assist internal clients in interpreting contract terms and clearly explain the implications of specific provisions.
  • Participate in negotiations with customers via video or phone calls as required.
  • Identify and mitigate risks associated with contracts and recommend strategies for risk management.
  • Advise on the resolution and enforcement of contract-related issues.
  • Provide training and guidance for staff on contract-related issues and best practices.
  • Maintain a contract database and filing system for easy access and retrieval.
  • Approve customer purchase orders (P.O.s).

Corporate Secretarial Duties

  • Facilitate the proper filing of corporate documents, including statutory filings and compliance records.
  • Maintain corporate governance records, ensuring timely updates to registers and databases.
  • Support the preparation of annual reports and other compliance documents.
  • Create and file minutes from board meetings.

Corporate Governance

  • Monitor global political and legal developments, advising the Senior Management Team on recommended actions.
  • Assist in the development and implementation of corporate governance policies and procedures.
  • Collaborate with legal firms, the parent company, and sister companies to minimize group risks.
  • Identify risk exposures and propose solutions to mitigate or eliminate such risks whenever possible.
  • Conduct Security Trade Control (STC) checks.
  • Perform other duties as assigned.

Qualifications

Education & Skills

  • A post-secondary degree in law, business, or commerce is preferred, including contractual/commercial law components.
  • Certification in contract management (e.g., NCCP, CPCM) or corporate governance (e.g., ICSA) is an asset.
  • Strong organizational skills and the ability to handle and prioritize numerous tasks simultaneously.
  • Ability to recognize contractual challenges and draft solutions that balance protecting the business and meeting the customer's needs.
  • Ability to perform detail-oriented work with high accuracy and completeness.
  • Experience with corporate governance, contract management databases, and MS CRM is preferred.
  • Excellent customer service support ethic and the ability to gain the trust and confidence of internal clients (this role works closely with the COO, VP of Sales, and Regional Sales Managers).
  • Ability to adhere to established policies and procedures and to interpret and comply with legal and regulatory requirements.
  • Ability to independently research legal issues and liaise with external legal counsel as required.
  • Ability to work independently.

Experience

  • 4+ years of experience drafting, editing, managing, and negotiating commercial contracts, preferably in an industrial setting.
  • Computer expertise (Word, Outlook, PowerPoint).
  • Excellent drafting, editing, and proofreading skills.

Working Conditions

  • Hours of operation: 8:30 a.m. to 5:00 p.m.
  • Prolonged periods of sitting at a desk and working on a computer; must be able to lift up to 5 lbs at times.
  • Requires daily communication with multiple departments to ensure maximum efficiency.

Contract Details

  • This is a fixed-term, full-time contract position for approximately 15 months to provide maternity leave coverage.
  • Anticipated start date to be confirmed with the successful candidate.

8:30 am to 5:00 pm
