This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Director Legal Counsel, Contracts based in United States.

This is a senior legal leadership opportunity for an experienced transactional attorney supporting a global technology organization.
The role combines strategic legal guidance, contract negotiation, compliance expertise, and team leadership.
You will advise business leaders across sales, procurement, product, IT, and operations while helping manage complex commercial relationships.
The position offers ownership over global contract strategy, legal risk management, and operational improvements.
You will work on sophisticated technology agreements involving SaaS, cybersecurity, data privacy, and regulated industries.

Accountabilities:

The Director Legal Counsel, Contracts will serve as a strategic legal partner, providing practical, business-focused advice while managing complex commercial matters and supporting global operations. The role requires strong leadership, negotiation skills, and the ability to balance business objectives with legal and regulatory requirements.

  • Lead, mentor, and develop a global contracts team while setting priorities, reviewing work quality, allocating resources, and improving legal operations.
  • Draft, review, structure, and negotiate complex international agreements, including SaaS, software, hardware, professional services, reseller, distributor, technology partner, and strategic alliance contracts.
  • Support sales and business teams by advising on commercial negotiations, non-standard contract terms, and risk mitigation strategies.
  • Provide guidance on data privacy, cybersecurity, information security, artificial intelligence, regulatory compliance, sanctions, export controls, and other legal matters affecting global technology operations.
  • Partner with cross-functional teams to develop practical solutions that align legal requirements with business goals.
  • Create and deliver internal training programs on contract processes, legal risks, and commercial best practices.
  • Manage contract lifecycle activities, identify critical legal issues, escalate risks when necessary, and support special legal projects.
  • Develop a deep understanding of products, markets, customers, and partnerships to anticipate legal needs and support business growth.
Requirements:

The ideal candidate is an experienced legal professional with strong expertise in commercial transactions, technology agreements, and global business operations. They should demonstrate excellent judgment, communication skills, and the ability to operate independently in a complex international environment.

  • Minimum of 5 years of progressive legal experience focused on corporate and commercial transactions, including significant in-house experience within a multinational technology, SaaS, software, cybersecurity, fintech, payments, or regulated technology organization.
  • Proven experience negotiating complex enterprise technology agreements with global customers, including financial institutions, banks, payment providers, insurance companies, or other regulated organizations.
  • Strong knowledge of data privacy, cybersecurity, information security, artificial intelligence, and technology-related contractual matters.
  • Experience managing indirect channel agreements such as reseller, distributor, OEM, referral partner, systems integrator, and strategic alliance contracts.
  • Experience supporting cross-border operations, international legal matters, and coordination with external counsel.
  • Familiarity with export controls, sanctions, anti-bribery, anti-corruption requirements, and international compliance obligations.
  • Ability to quickly understand new legal areas and provide practical, risk-based guidance across multiple disciplines.
  • Strong leadership, negotiation, collaboration, stakeholder management, and written communication skills.
  • Experience with software or technology industry revenue recognition considerations is preferred.
  • Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing.
  • Ability to work remotely with occasional domestic and international travel; Eastern or Central time zone preferred.
