We are seeking an experienced commercial attorney to provide strategic legal guidance and support complex technology and business transactions in a fast-paced environment.
This role serves as a key partner to business teams, helping structure agreements, manage risk, and enable growth through practical legal solutions.
You will work closely with commercial, compliance, product, and leadership stakeholders to negotiate agreements and support evolving products and services.
The position requires strong expertise in technology transactions, contract negotiation, and balancing legal considerations with business objectives.
You will play a critical role in improving commercial processes, advising on strategic initiatives, and protecting organizational interests.

The Senior Corporate Counsel, Commercial will lead legal support for commercial activities by managing complex agreements, advising stakeholders, and ensuring business initiatives move forward effectively while maintaining appropriate risk management standards.
- Draft, review, negotiate, and structure a wide range of technology and commercial agreements, including SaaS agreements, strategic partnerships, licensing agreements, NDAs, consulting agreements, service agreements, OEM agreements, reseller agreements, data use agreements, MSAs, and SOWs.
- Support vendor and supplier contracting activities, including service agreements, development agreements, subscription agreements, and consulting arrangements.
- Independently manage a high volume of transactions from initial review through completion in a dynamic business environment.
- Develop, update, and maintain contract templates, playbooks, and standard agreements to improve efficiency and consistency.
- Identify legal, regulatory, and business risks while providing practical recommendations to internal teams and leadership.
- Advise on complex matters involving technology development, software integrations, intellectual property, data licensing, and strategic partnerships.
- Prepare clear legal analyses, risk assessments, and recommendations tailored to executives, business teams, and legal stakeholders.
- Support mergers and acquisitions and other corporate transactions when needed.
- Collaborate with legal and compliance teams on special projects and strategic initiatives.
- Serve as a trusted advisor by balancing legal protections with business goals and growth opportunities.
The ideal candidate combines strong commercial legal expertise with business judgment, negotiation skills, and the ability to operate independently in a technology-driven environment. They should have experience managing complex transactions and advising organizations on strategic commercial matters.
- Juris Doctor (JD) degree from an accredited law school.
- Active license and good standing to practice law in at least one U.S. state.
- 5+ years of experience at a leading law firm or within a sophisticated in-house commercial legal environment.
- Experience combining law firm and in-house legal experience, with significant exposure to complex commercial transactions preferred.
- Strong background advising companies on technology services agreements, commercial contracts, and business arrangements.
- Demonstrated ability to independently draft and negotiate complex agreements with limited supervision.
- Strong understanding of legal risk assessment and the ability to provide practical, business-oriented advice.
- Excellent communication, organization, and prioritization skills with the ability to manage multiple projects simultaneously.
- Ability to work effectively with cross-functional teams and senior stakeholders in a fast-paced environment.
- Experience with product counseling, intellectual property, privacy, or regulatory matters is highly desirable.
- Strong professionalism, judgment, collaboration skills, and attention to confidentiality.
- Competitive annual salary range of $143,500 to $239,500.
