The Senior Legal Counsel will provide strategic legal support for commercial operations, helping teams navigate agreements, partnerships, and business opportunities while ensuring effective risk management and operational efficiency.
- Structure, draft, review, negotiate, and finalize a wide range of commercial agreements, including SaaS agreements, licensing agreements, partnership contracts, and strategic alliance agreements.
- Serve as a primary legal partner for complex transactions involving customers, vendors, and strategic partners.
- Evaluate contractual, legal, and commercial risks while providing practical recommendations and solutions that support business objectives.
- Collaborate with Sales, Finance, Product, Privacy, Security, Procurement, and Customer Success teams to facilitate successful business outcomes.
- Develop and improve contract templates, negotiation playbooks, guidelines, and legal processes to increase efficiency and scalability.
- Monitor relevant legal and regulatory developments and translate changes into actionable business guidance.
- Support dispute resolution activities and provide legal assistance on emerging business needs.
- Build trusted relationships with internal stakeholders by delivering clear, timely, and commercially focused legal advice.
The ideal candidate is an experienced commercial attorney with strong negotiation skills, business judgment, and the ability to independently manage complex legal matters in a fast-paced environment.
- Juris Doctor (J.D.) degree from an accredited law school and active bar admission in good standing in at least one U.S. jurisdiction.
- 3–6 years of experience in commercial contract negotiation and legal counseling.
- Proven ability to independently manage and close strategic agreements with enterprise customers, vendors, and partners.
- Strong knowledge of technology-related contract terms, including licensing, intellectual property ownership, indemnification, limitation of liability, privacy, and data protection provisions.
- Experience creating contract frameworks, templates, playbooks, or negotiation guidelines.
- Excellent written and verbal communication skills with the ability to explain complex legal concepts clearly to business teams.
- Strong analytical skills and business judgment, with the ability to balance legal considerations with commercial priorities.
- Ability to manage multiple priorities, work independently, and operate effectively in a dynamic environment.
- Proficiency with Microsoft Office Suite and Adobe Acrobat.
- Prior management experience is preferred.
