Job Description

Description:

VP OF FINANCE

Reporting to the CEO and COO

The Opportunity

Acasia is a fast-growing platform in AI infrastructure, executing large-scale GPU deployments backed by multi-year customer agreements with total contract valuations in the billions of dollars. We are looking to hire a strong VP of Finance to further develop and lead the Finance, Accounting, and Tax functions as well as be a strong presence in the structuring of the business platforms for a business operating on this scale.

This is a role for a proven individual who has overseen financial reporting with KPI reporting and analysis, worked with structured special-purpose vehicles, participated in complex financing structures, and has experience with institutional lenders, equity partners, and Boards. This is also a hands-on position that requires attention to detail in building Acasia’s foundational framework for the functions noted above. This is not a steady state position but a high involvement opportunity with upside for the right person.

Key Position Aspects

  • Key person in the structuring and formation of SPVs, obtaining asset-backed and project financing collateralized by deployed infrastructure and contracted customer cash flows, and working directly with lenders, equity partners, and structuring counsel. Will be a leader in the development of customer and infrastructure agreements in a cross-functional partnership with senior management – focusing on being pro-active and not just reactive.
  • Customer credit and contract underwriting – key in the assessment of counterparty credit quality and contract durability as the basis for what is financeable; know when a signed customer commitment is bankable collateral and when it isn't.
  • Oversight of GPU fleet economics including cash flow and capital expenditures which includes depreciation schedules, and utilization-linked forecasting for GPU and infrastructure assets, since these drive both capex planning and what lenders will underwrite. Manage the funding stack against a business where capital expenditures are front-loaded and revenue lags, including structuring customer prepayments as a funding source.
  • Provide the organization with FP&A leadership as to forecasts and budgeting and defining and measuring the key metrics that drive the business.
  • Provide financial and accounting leadership with the development of a strong control environment. Will own the finance, accounting, tax, treasury / liquidity management, and reporting functions. Lead on the development of the necessary systems, controls, and audit readiness a company of this scale and deal complexity requires, including for future institutional or public-market scrutiny.
  • Drive Board and investor engagement with appropriate financial materials (including key metrics) to the Board and existing/prospective financial partners. Must be a credible, independent and calm voice in the room, not just a reporter of information.
  • Coordinate with the Audit Committee Chair as to ensuring financial reporting discipline for audit and other external / internal reporting. Create and define various key platform metrics, including annual recurring revenue, gross margins, capacity utilization rates, cost recovery and projections, and client acquisition economics.

Compensation & Location

This role carries meaningful cash and equity potential to match the scope of responsibility of the position and a deal-execution environment:

  • Base salary: $175,000–$250,000, benchmarked to internal VP-level precedent and current market data for VP Finance hires at growth-stage infrastructure companies.
  • Target incentive bonuses tied to finance organization performance including transaction-linked incentives on closed SPV structures and financings.
  • Equity: This role will be eligible for meaningful equity – the exact amount will be awarded based on merit.

Final terms are subject to Board / Compensation Committee approval and finalization of the 2026 Equity Incentive Plan. Location: Headquartered in the Houston, Texas area. Position is considered a Hybrid role with an agreed upon presence in Acasia’s The Woodlands office.

Requirements:

What We Need

  • 10+ years of progressive corporate finance experience, with at least 5+ years in an executive role (VP or above). Preferably have a CPA designation (Inactive status is fine).
  • Industry background: Proven experience in a high-growth, capital-intensive environment. Direct experience in Cloud Infrastructure (IaaS/PaaS), Hyperscale/Colocation Data Centers, or Neocloud environments is highly preferred.
  • Possessing a solid conceptual understanding of the AI ecosystem and technology systems.
  • Direct hands-on development experience structuring and closing SPV, project-finance, or asset-backed debt transactions collateralized by infrastructure and contracted revenue. Securitization experience is a good attribute to also have.
  • Must have a positive executive presence in internal and external interactions and presentations – direct experience with being a leader on large, complex transactions. Be a leader in driving effective FP&A solutions and communication on a transparent basis.
  • Experience financing a capital-intensive business through a negative-free-cash-flow buildout phase, where capital expenditures outpace revenue for a period.
  • A high level of proficiency in credit and counterparty risk judgment and a fluent knowledge of capital markets (and related capital instruments).
  • Experience in upgrading the above noted function areas and managing the people involved in them.

Why This Role

We believe that this is a rare seat: a finance leader hired into a company at the exact moment its deal size and capital needs are stepping up in order of magnitude. The person who takes this role will design the finance function Acasia runs on for the next phase of growth and will do it with direct exposure to the CEO, the Board, and every major business decision that Acasia makes.
