About the Position
Responsible for providing review, analysis, negotiations, and ongoing management of non-complex and standard contract instruments for the Company, to ensure all corporate objectives are met and contract review guidelines are followed. This position understands applicable Company contract policies, interprets, and creates appropriate customer agreement language, determines applicable contract provisions, and ensures compliance with insurance, bonds, and licensing requirements, in alignment with all Company policies, procedures, key objectives and regulations.

About the Position

Day in the Life
- Provides timely review, analysis, and issue of Company project contracts with repeat customers valued at $50,000 or under and for those valued at $250,000 or under which do not allow changes, to ensure all contract language is compliant with applicable laws, regulations and corporate guidelines, policies, and project scope of work requirements.
- Negotiates contractual instruments commensurate with skills and edits contract language to minimize Company risk. Makes sound business recommendations and includes the input and analysis provided by others in creating solutions. Determines requirements to compile a complete set of construction documents and obtains these documents from the customer and/or project manager. Supports Company pre-lien processes as needed.
- Provides accurate, organized contract document management through timely receiving, tracking and maintenance of Company contracts, consistent with legal department guidelines and requirements. Contract documents include all agreements between the Company and its customers, vendors, subcontractors and/or other third parties.
- Ensures the Company and its subcontractors and vendors comply with project or customer requirements, including insurance, bonds, and licensing. Ensures Company contract policies and procedures are efficient, effective, and appropriately maintained by identifying areas and modes of continuous improvement.
- Ensures all Company subcontractors provide appropriate evidence of insurance, compliant with customer, project, and legal department requirements. Enters and tracks all Company subcontracts and Certificates of Insurance into the accounting system in an accurate and timely manner, in accordance with legal department guidelines.
- Understands and complies with all State Rules of Professional Conduct for Attorneys. Maintains compliance with all federal, state, and local laws and regulations. Follows ethical requirements set forth by the Model Rules of Professional Conduct. Ensures all client and Company confidences are preserved and does not render legal opinions, draft legal documents, or otherwise engage in the unauthorized practice of law.
- Obtains, maintains and tracks all Company licenses required to conduct business in all applicable jurisdictions, including state, city, and county licenses. Accurately tracks all legal department expenditures and makes timely submissions of appropriate and approved invoices for expenditures to accounts payable for payment.
- Supports litigation and dispute resolution in employment, labor, and construction law. This includes responding to discovery requests, investigating facts, researching, scheduling, and attending meetings, coordinating witness interviews, and maintaining all litigation documentation and files. Provides litigation/claims logs and discloses relevant claim history as appropriate to the marketing department in support of RFP (Request for Proposal) response preparations.
- Consults and updates customer data spreadsheets showing all previously accepted changes as part of the department risk management process. Manages spreadsheets containing all agreed-upon customer non-solicit and non-compete provisions and provides quarterly updates to senior management on these provisions.
- Manages all aspects of Certificates of Insurance required of the Company's customers, suppliers, subcontractors, and vendors, including obtaining, filing, maintaining, and delivering to those parties. Manages all Company surety letters, consents of surety, bid bonds and payment/ performance bonds from the Company's insurer/surety.
- Develops and delivers communications and training related to key contract terms and processes, subcontractor compliance, licensing and other areas as requested. Coaches staff on contract review process and legal department reasoning for such processes as needed.
- Provides administrative and transactional support to legal/contract department in Company legal matters as required, including but not limited to coordinating and maintaining appointment calendars and schedules, organizing meetings, travel, conferences and other departmental details and activities as needed. Maintains confidentiality and urgency as appropriate.
- Builds effective relationships with customers, foremen, project teams, specialty contractors, vendors, suppliers, user groups and others that reflect and support the Company's core values and meet or exceed the customer's expectations.
- Consistently makes decisions in an attentive and safe manner to ensure the safety and health of self and others.
- Utilizes LEAN concepts or other continuous improvement methodologies to ensure the most efficient operations, processes, and activities.
- Promotes and models the Company mission, vision and values through exercising sound and ethical business practices, championing all elements of diversity, equity, and inclusion (DEI) and providing high quality services and programs as they relate to clients, subcontractors, co-workers, suppliers, and the public.
Minimum Qualifications
- Bachelor's degree or equivalent work experience in paralegal studies or a related field. Paralegal or Contract Administrator certification is preferred.
- Minimum 3-5 years of experience as a paralegal, legal assistant, or similar role in the legal environment, preferably with some in-house corporate legal department experience. Knowledge of the construction industry is helpful.
- Experience working with contract and construction law, with a working knowledge of contracting concepts, licensing, and commercial insurance. Strong understanding of standard legal and industry contract terminology, and the potential consequences to the Company if that terminology is not used appropriately.
- Experience and expertise using GoTo Meeting or a similar remote audio/visual conference platform.
- In-depth understanding of local, state, and federal licensing requirements and the ability to communicate with appropriate government officials in those groups.
- High degree of professionalism, initiative, organizational, customer service and prioritization skills. Experience with direct customer contact and effective communication with employees and co-workers at all levels. Demonstrated elevated level of integrity and dependability.
- Superior listening, collaboration, presentation, negotiation, conflict management and persuasion skills, and the ability to influence and build relationships with employees at all levels, including senior management. Strong teamwork, coaching and mentoring skills.
- Demonstrated ability to diagnose problems with strategic thinking skills and detail orientation, and to drive timely and appropriate solutions across all business lines with self-initiative and sensitivity. Superior detail orientation and organizational skills. Demonstrated strong analytical and mathematical skills.
- Excellent written and verbal communication skills, including high quality documentation and report preparation. Strong telephone communication skills.

- Occasional travel may be required.
