Job Description
aPriori is seeking an experienced Senior Contracts Specialist to join our Legal team. This is a hands-on, operationally focused role responsible for managing the full lifecycle of aPriori’s commercial agreements — from initial intake, review, and redlining through execution, tracking, and repository maintenance. The ideal candidate brings deep expertise in commercial contract operations, proficiency with CLM systems and AI-powered workflows, and the sound judgment to work independently while knowing when to escalate. This role supports a global sales organization and will require occasional (estimated at a few times per month) flexibility outside standard US business hours to accommodate colleagues and customers in EMEA and APAC time zones as needed to support time-sensitive transactions and negotiations.

Responsibilities
- Serve as primary administrator and power user of aPriori’s CLM system (currently Linksquares), ensuring the platform is accurately configured, up to date, and fully adopted across the contracts function
- Identify and implement AI-powered workflows, automation tools, and process improvements to increase throughput, reduce cycle times, and improve contract quality and visibility
- Develop and maintain standard operating procedures to support contract intake, review, negotiation, execution, and post-signature compliance
- Partner with aPriori’s Deal Desk to ensure all order documentation — including Order Documents, SOWs, and related attachments — is accurate, complete, and executed on time
- Prepare fully negotiated agreements for execution by authorized signatories; this role does not carry independent authority to bind aPriori contractually
- Serve as a knowledgeable resource for the sales team on aPriori’s standard contract terms and processes, driving deal velocity without sacrificing quality
- Maintain and continuously improve aPriori’s contracts repository, ensuring all fully executed agreements and amendments are properly organized, tagged, and searchable
- Enforce data hygiene standards within the CLM system, including metadata completeness, renewal and expiration date tracking, and counterparty information accuracy
- Generate reports and dashboards from the CLM system to provide Legal and Finance leadership with visibility into contract status, obligations, and upcoming renewals
- Review, redline, and negotiate customer-proposed MNDAs and other standard commercial agreements, applying aPriori’s established playbooks and positions
- Review customer-proposed redlines to aPriori’s standard contract templates, including SaaS Agreements, on-premises software agreements, SOWs, and Order Documents
- Triage incoming contractual and legal issues, independently resolving routine matters and escalating non-standard or high-risk issues to the VP of Legal with clear context and a recommended path forward
- Develop and maintain a tracking system for non-standard contractual commitments and exceptions granted to customers, proactively alerting relevant internal stakeholders to obligations that require action or monitoring
- Complete customer vendor onboarding forms, security questionnaires, and procurement questionnaires, coordinating with Security, IT, Finance, and other internal teams to compile accurate responses
- Support aPriori’s responses to RFPs, RFIs, and similar procurement processes, with a focus on the legal, commercial, and contractual components
- 7+ years of hands-on commercial contracts experience in a technology company, law firm, or legal operations environment, with demonstrated experience managing SaaS or software licensing agreements
- Deep familiarity with standard commercial contract structures including SaaS agreements, on-premises software licenses, NDAs/MNDAs, SOWs, and order documents; ability to identify, explain, and resolve common negotiation points without attorney supervision
- Working knowledge of data privacy concepts relevant to commercial agreements, including GDPR, CCPA, and standard DPA structures is required
- Hands-on experience administering or operating within a CLM platform (e.g., Linksquares, Ironclad, Conga, DocuSign CLM, Icertis, or equivalent)
- Demonstrated experience using AI tools to improve contracts workflows, with the ability to articulate specific tools used and measurable outcomes achieved
- Exceptional written and verbal communication skills; ability to articulate aPriori’s contractual positions clearly and professionally to customers and internal stakeholders
- Proven ability to work independently, prioritize effectively under pressure, and exercise sound judgment on when to escalate
- Meticulous attention to detail in contract review, data entry, and obligation tracking
Education and Experience
- Bachelor’s degree required. Additionally, Paralegal Certificate from an ABA-approved program or equivalent professional certification strongly preferred.
- Experience at a fast-paced B2B SaaS company or enterprise software vendor is a plus
- Experience supporting or collaborating directly with a sales deal desk in an enterprise B2B environment is a plus
- Experience completing security questionnaires, vendor questionnaires, and RFPs for enterprise technology prospects is a plus

aPriori is committed to fair and equitable compensation practices. The base salary range for this role is $100,000 – $160,000 annually, depending on a candidate's relevant experience, skills, education, and work location. In addition to base salary, this position is eligible for variable compensation. Final compensation will be determined on a case-by-case basis and may vary based on the individual's qualifications and alignment with the role's requirements. This range is subject to change to reflect evolving market conditions and organizational needs.
