This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Corporate Counsel based in the United States.
This is a broad in-house legal role serving as a trusted advisor across corporate, commercial, technology, regulatory, compliance, employment, privacy, and data security matters.
You’ll work closely with business teams to identify and manage legal risk while providing practical, commercially focused guidance.
The role combines hands-on contract ownership with corporate governance, regulatory support, and strategic legal projects.
You’ll manage matters from initial intake through drafting, negotiation, stakeholder alignment, escalation, and execution.
A key focus will be developing scalable legal processes, templates, playbooks, workflows, and contract management practices.
You’ll collaborate with teams across People, Product, Business Development, and senior leadership in a fast-moving, cross-functional environment.

- Serve as a key legal partner to business teams across corporate, commercial, technology, regulatory, compliance, employment, privacy, data security, and operational matters.
- Draft, review, negotiate, and manage a broad range of commercial agreements, including SaaS, software, AI, vendor, technology, data, confidentiality, service, licensing, and other business contracts.
- Manage contract matters end-to-end, from intake and drafting through negotiation, stakeholder alignment, risk escalation, approval, and execution.
- Provide practical legal guidance on corporate transactions, business agreements, and strategic initiatives.
- Maintain corporate and securities filings, including SEC filings such as Forms 4, S-8, and 8-K and similar requirements.
- Support regulatory and compliance matters involving employment, privacy, data security, consumer protection, corporate securities, and financial technology.
- Develop and improve legal templates, contract playbooks, clause libraries, approval workflows, intake processes, and other scalable legal operations.
- Manage corporate governance and compliance requirements for non-U.S. subsidiaries and foreign entities.
- Support disputes and coordinate with external counsel when specialized legal expertise is required.
- Perform special legal projects and provide strategic support to senior leadership.
- Partner with People, Product, Business Development, and other functional teams on department-specific and company-wide initiatives.
- Independently prioritize legal matters, identify material risks, and determine when escalation or additional resources are necessary.
- Contribute to efficient, scalable legal operations as the organization continues to grow and evolve.
- Juris Doctor (J.D.) degree from an accredited law school.
- Active membership in at least one U.S. state bar, with eligibility to practice as in-house counsel in the District of Columbia if not admitted there.
- 4+ years of relevant legal experience, preferably including meaningful in-house or business-facing experience.
- Strong commercial and business judgment, with the ability to identify, prioritize, and communicate material legal risks.
- Demonstrated experience drafting, reviewing, negotiating, and managing commercial agreements independently.
- Ability to explain complex legal concepts clearly and practically to non-lawyer stakeholders.
- Excellent written and verbal communication skills, with strong attention to detail and project-management capabilities.
- Ability to work effectively in a fast-paced, cross-functional environment while managing multiple competing priorities.
- Strong organizational skills and sound judgment when determining which matters require immediate attention and which can be deprioritized.
- Experience supporting corporate, regulatory, privacy, employment, data security, or compliance matters is valuable.
- Familiarity with legal contract management software; experience with Salesforce or similar platforms is preferred.
- Ability to collaborate effectively with senior leaders, business stakeholders, internal teams, and external counsel.
