Corporate M&A Associate

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Corporate M&A Associate based in the United States.

This role offers the opportunity to support complex private merger and acquisition transactions within a dynamic legal environment.
The Corporate M&A Associate will play a key role in drafting, negotiating, and executing critical transaction documents throughout the deal lifecycle.
The position is ideal for a legal professional with strong private M&A expertise who enjoys solving complex business challenges.
Working closely with clients, internal teams, and external counsel, the role requires strategic thinking and strong attention to detail.
The successful candidate will contribute to high-impact transactions involving acquisitions, divestitures, and corporate restructurings.
This opportunity provides the flexibility of a remote work environment while engaging with sophisticated legal matters and senior stakeholders.

Accountabilities:

The Corporate M&A Associate will support the execution of private company mergers and acquisitions by providing high-quality legal expertise, managing transaction workflows, and delivering practical solutions to complex legal and commercial challenges.

  • Draft, review, and negotiate key transaction documents, including Stock Purchase Agreements (SPAs), Asset Purchase Agreements (APAs), Letters of Intent (LOIs), confidentiality agreements, disclosure schedules, and related ancillary documents.
  • Conduct legal due diligence and identify potential legal, regulatory, and commercial risks associated with acquisitions, divestitures, and other corporate transactions.
  • Support all stages of private M&A transactions, from initial structuring and negotiation through closing.
  • Collaborate with internal stakeholders, clients, and external legal teams to ensure efficient transaction execution.
  • Analyze legal and business issues and recommend practical, commercially focused solutions.
  • Manage multiple concurrent transactions while maintaining quality, accuracy, and adherence to deadlines.
  • Communicate effectively with senior business leaders and external stakeholders throughout the transaction process.
Requirements:

The ideal candidate will have significant private M&A experience, strong corporate law knowledge, and the ability to independently manage sophisticated transactions in a fast-paced environment.

  • J.D. or equivalent law degree and active license to practice law in at least one U.S. jurisdiction.
  • Approximately 5+ years of experience supporting private M&A transactions.
  • Demonstrated expertise drafting and negotiating Stock Purchase Agreements (SPAs) and Asset Purchase Agreements (APAs).
  • Experience with mergers, acquisitions, divestitures, restructurings, and related corporate transactions.
  • Strong understanding of corporate law principles and transaction structures.
  • Excellent drafting, negotiation, analytical, and communication skills.
  • Ability to work independently while managing multiple priorities and competing deadlines.
  • Strong business judgment with the ability to identify risks and provide actionable recommendations.
  • Comfortable collaborating with senior stakeholders, clients, and external counsel.
