Associate General Counsel, Commercial

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for an Associate General Counsel, Commercial based in the United States.

This is a senior, commercially focused legal role supporting a rapidly scaling global technology business.
You will act as a strategic partner to Marketing, Growth, Sales, Partnerships, Product, and Finance teams.
The role centers on complex commercial transactions, including performance-based marketing, advertising, SaaS, licensing, and strategic partnerships.
You will advise senior leaders on innovative business models while balancing commercial opportunity, legal risk, and execution speed.
A major part of the role will involve building scalable contracting processes, templates, playbooks, and governance frameworks.
You will also help shape the commercial legal function and mentor legal professionals as the organization expands.
This fully remote opportunity offers substantial ownership and the chance to influence the legal foundations of an ambitious AI-driven business.

Accountabilities:
  • Lead the structuring, drafting, negotiation, and execution of complex marketing, advertising, CPA and performance-based, affiliate, media, agency, creator/influencer, and strategic partnership agreements.
  • Structure innovative performance-based commercial arrangements involving revenue sharing, commissions, attribution, payment mechanisms, and other growth-oriented models.
  • Negotiate enterprise SaaS, API, technology licensing, and other strategic commercial agreements while supporting new revenue and customer acquisition opportunities.
  • Advise executive and business leadership on strategic transactions, emerging business models, commercial risks, and practical paths forward.
  • Counsel Marketing and Growth teams on advertising, promotions, endorsements, consumer protection, and customer acquisition activities.
  • Advise Product and go-to-market teams on AI, digital media, intellectual property, privacy, data, and emerging commercialization issues.
  • Develop scalable commercial legal processes, including templates, playbooks, approval frameworks, fallback positions, and contracting workflows.
  • Partner with Finance and Operations to establish appropriate guardrails around performance economics, attribution, payments, and reporting.
  • Collaborate with Marketing, Growth, Sales, Partnerships, Product, Finance, Privacy, Security, and Operations to provide clear, actionable legal guidance.
  • Support new products, markets, partnerships, and other strategic initiatives while maintaining awareness of developments in digital advertising, consumer protection, privacy, AI, digital media, and IP.
  • Help build the commercial legal function and mentor junior legal professionals as transaction volume and organizational complexity increase.
Requirements:
  • J.D. from an accredited law school and active membership in at least one U.S. state bar.
  • 10+ years of legal experience, including substantial experience advising sophisticated commercial transactions in high-growth technology, consumer, advertising, digital, or related businesses.
  • Combination of top-tier law firm and in-house legal experience strongly preferred.
  • Significant experience negotiating marketing, advertising, CPA/performance-based, affiliate, media, agency, creator/influencer, or comparable commercial agreements.
  • Strong experience with technology transactions, including SaaS, APIs, technology licensing, and strategic partnerships.
  • Strong knowledge of digital advertising, consumer protection, intellectual property, privacy, data, and emerging technology matters.
  • Experience supporting AI, consumer technology, digital media, adtech, or similarly fast-moving technology environments is highly desirable.
  • Exceptional business judgment and the ability to provide pragmatic, risk-balanced advice in situations involving ambiguity and rapid change.
  • Demonstrated ability to build scalable legal processes and efficiently manage significant transaction volumes.
  • Excellent drafting, negotiation, communication, influencing, and stakeholder-management capabilities.
  • Highly collaborative, low-ego, execution-oriented, and comfortable working independently in a fast-paced environment.
  • Willingness to travel occasionally for business meetings, planning sessions, company events, and in-person collaboration.

  • Base salary: $260,000–$310,000, depending on experience, skills, scope, and location.
