Corporate Counsel

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Corporate Counsel based in United States.

This role offers the opportunity to serve as a strategic legal partner within a fast-paced, customer-focused retail environment.
You will provide practical, business-oriented legal guidance across a wide range of corporate, employment, and operational matters.
The position requires close collaboration with leaders across multiple functions to manage risk while supporting business growth.
You will advise on contracts, compliance, employment matters, privacy, intellectual property, and regulatory developments.
Working alongside executives and cross-functional teams, you will help create scalable legal solutions that enable operational success.

Accountabilities:

The Corporate Counsel will act as a trusted legal advisor, delivering strategic and practical guidance across corporate operations, employment matters, contracts, compliance, and risk management. This role requires strong legal judgment, business awareness, and the ability to collaborate effectively with stakeholders across the organization.

  • Provide day-to-day legal counsel across business functions, including employment law, retail operations, e-commerce, digital marketing, commercial agreements, privacy, cybersecurity, compliance, technology, merchandising, supply chain, and customer operations.
  • Draft, review, negotiate, and interpret a broad range of commercial agreements, including vendor, technology, consulting, marketing, confidentiality, and service agreements.
  • Support corporate initiatives, operational projects, and cross-functional business activities by providing practical legal guidance.
  • Develop, implement, and maintain policies and procedures that promote regulatory compliance and operational efficiency.
  • Monitor legal and regulatory developments affecting retail operations and communicate business implications to internal stakeholders.
  • Provide support for intellectual property matters, including trademarks, copyrights, licensing, brand protection, and marketing content review.
  • Identify opportunities to improve legal workflows, increase efficiency, and create scalable processes for legal support.
  • Advise Human Resources and business leaders on employee relations matters, including investigations, performance management, accommodations, leaves, workforce changes, and terminations.
  • Provide guidance on compliance with federal, state, and local employment regulations, including wage and hour laws, workplace protections, leave requirements, and labor regulations.
  • Draft and review employment-related documents, policies, handbooks, agreements, and training materials.
  • Manage employment-related claims, regulatory inquiries, agency matters, audits, and litigation processes.
  • Coordinate with outside counsel to ensure effective, efficient, and cost-conscious legal support.
  • Advise leaders on legal risks and develop solutions that align business priorities with compliance requirements.

Requirements:

The ideal candidate is an experienced attorney with strong commercial judgment and the ability to provide clear, actionable legal advice in a dynamic business environment. You should have experience supporting complex organizations, managing legal risks, and partnering with executives and cross-functional teams.

  • Juris Doctor (J.D.) degree from an ABA-accredited law school and admission to at least one U.S. state bar in good standing.
  • 10+ years of relevant legal experience, preferably with significant in-house and/or retail experience.
  • Experience advising a national retailer, consumer-facing organization, or multi-state employer.
  • Strong background managing employment litigation, administrative proceedings, investigations, and outside counsel relationships.
  • Proven experience drafting, reviewing, negotiating, and interpreting commercial agreements.
  • Working knowledge of employment, retail, consumer protection, privacy, advertising, intellectual property, and commercial law.
  • Extensive understanding of federal, state, and local employment regulations applicable to multi-state employers.
  • Strong legal research, analytical, drafting, contract interpretation, and negotiation skills.
  • Ability to build trusted partnerships with executives and teams across Human Resources, Finance, IT, Procurement, Marketing, Compliance, and Operations.
  • Excellent communication, organization, and project management skills with the ability to manage multiple priorities.
  • Ability to translate complex legal requirements into practical business recommendations.
  • Strong judgment in balancing legal risk, business goals, speed, cost, and customer experience.
  • Proficiency with Microsoft Office Suite and legal technology platforms.
  • Ability to work Pacific Standard Time hours to support business needs.
  • Practical, collaborative, and solutions-oriented mindset with the ability to operate independently.
