Role Overview
- The Corporate Paralegal provides legal and administrative support to the General Counsel and serves as a key member of the legal team supporting the company’s real estate investment, development, construction, property management, asset management, residential sales, financing, and corporate operations.
Key Responsibilities
Real Estate Transactions & Development
- Support and coordinate commercial real estate acquisitions, dispositions, financings, and development projects, by managing due diligence, document review collection, transaction workflows, closing requirements, and post-closing activities.
- Support and coordinate residential real estate sales from contract execution through closing.
- Organize and review due diligence materials, including title, survey, zoning, environmental, permitting, entitlement, and organizational documents.
- Assist with construction and development matters, including lender requirements, draw documentation, lien waivers, releases, and project-related agreements.
- Coordinate and interface with outside counsel, buyers, sellers, lenders, title companies, brokers, consultants, contractors, municipalities, and other transaction participants.
- Prepare and maintain transaction checklists, schedules, project trackers, and legal documentation.
- Maintain transaction records, closing documentation, and post-closing files.
Contract Administration
- Support the preparation, review, execution, and administration of transaction and property management-related agreements, including confidentiality agreements, property management agreements, vendor contracts, purchase and sale agreements, loan documents, easements, and title-related documents.
- Organize and maintain contract records while supporting internal contract management processes and legal operations.
- Maintain contract tracking systems to monitor approvals, renewal dates, notice periods, and key contractual obligations while supporting efficient document access, reporting, and compliance monitoring.
Corporate Entity Administration & Compliance
- Manage entity formation, qualification, maintenance, dissolution, governance documentation, and organizational records.
- Coordinate annual reports, business license renewals, registered agent updates, and other compliance filings.
- Maintain entity records, ownership information, organizational charts, compliance calendars, and filing deadlines to ensure entities remain in good standing.
- Prepare and maintain corporate governance documents, including organizational records, resolutions, consents, and entity documentation.
Legal Operations & Cross-Functional Support
- Maintain legal records, document management systems, and legal calendars to support efficient legal operations.
- Prepare transaction materials, meeting materials, and other documentation in support of business initiatives.
- Partner with Development, Construction, Finance, Investment, Property Management, Asset Management, and Sales teams to support legal and business objectives.
- Perform special projects and other duties as assigned by the General Counsel.
Qualifications
- 4 Year Degree or 2-3 Years experience in a similar position
- Ability to work effectively under pressure
- Ability to adhere to deadlines.
- Previous experience in commercial real estate or corporate paralegal experience preferred
- Microsoft Office Suite experience required
The pay range for this role is:
75,000 - 110,000 USD per year(Corporate)
