About This Position

PRIMARY FUNCTION

The Legal Counsel, Contract Administration will serve as the primary point of contact for the contracts for the entire Pediatric Associates Family of Companies enterprise (the “PAFC”), including drafting, reviewing, managing, and administering contracts. In addition to the broader contract administration responsibilities, the Legal Counsel, Contract Administration shall prioritize Affiliation Agreements between PAFC and third-party educational institutions and support senior Legal Department personnel with Clinician contracting (including, employment agreements, amendments, addendums, etc.). It is expected that the Legal Counsel, Contract Administration will be the subject matter expert and primary manager of the enterprise’s contract management system (currently, Ntracts) and is expected to maintain and update enterprise-wide contracting and contract administration policies and best practices.

ESSENTIAL DUTIES AND RESPONSIBILITIES

  1. Drive and support contract formation process through the negotiation, drafting, review, and finalization of contracts for all departments throughout the PAFC enterprise, including, but not necessarily limited to master service agreements, procurement agreements, non-disclosure agreements, software and IT related agreements, consulting agreements, inter-company agreements, and government contracts, both individually and in partnership with Legal Department colleagues.
  2. Provide legal support and guidance to the clinician (both Physician and Advanced Practice Provider) contracting function including supporting the Legal Department in developing and/or maintaining form clinician employment agreements.
  3. Stay current on changes in healthcare laws and regulations and proactively identify potential legal risks for PAFC associated with clinician contracting; and conduct legal research and provide recommendations to senior Legal Department personnel on complex legal issues related to clinician contracting.
  4. Maintain and update form vendor contract templates, including standard terms, forms, and procedures for contract formation.
  5. Accurately and clearly communicate to internal clients the meaning of contract terms and associated risk to internal clients.
  6. Ensure that contractual arrangements meet financial targets and legal/regulatory compliance requirements.
  7. Conduct ongoing assessments of and make recommendations for strategic initiatives, goals, and objectives related to contracting and contract administration.
  8. Collaborate with other departments as needed to support, develop, and facilitate enterprise-wide contracting and contact management initiatives.
  9. Provide legal support to senior Legal Department personnel on deal due diligence, including mergers, acquisitions, joint ventures, and divestitures.
  10. Performs other duties as assigned by senior Legal Department personnel.

QUALIFICATIONS

EXPERIENCE

  • Minimum 3 years as a practicing attorney, preferably a combination of law firm and in-house
  • Minimum 1 years of legal practice directly related to a health care environment
  • Minimum 1 years of contracting administration (negotiating, drafting, reviewing, enforcing, etc.)
  • Preferred experience in drafting physician and advance practice provider employment agreements

EDUCATION

  • Juris Doctorate from an accredited U.S. law school required

LICENSURE / CERTIFICATION

  • Bar licensure and, if not licensed by the Florida Bar, eligible to register as in-house counsel in the State of Florida

  • Ability to think critically from a legal standpoint
  • Ability to quickly grasp, dissect, and translate legal issues into language understandable to non-lawyers

  • Strong analytical and advances problem-solving skills with great attention to detail and ability to juggle and prioritize multiple important tasks
  • Self-directed, organized, capable of handling multiple complex projects, and able to communicate to advise/manage expectations of Legal Department colleagues and other clients within the enterprise
  • Experience in negotiating, analyzing, drafting, and reviewing contracts, statements of work, and business proposals
  • Experience drafting physician and advance practice provider employment agreements
  • Advance level of proficiency in Microsoft Office applications including Word, PowerPoint, and Excel
  • Strong verbal and written communication skills
  • Flexibility and ability to effectively perform in a fast-paced environment, and responsive to multiple requests with a strong sense of urgency
  • Excellent interpersonal skills and ability to interact effectively with all tenure levels and across departments and business units
  • Highly dependable, professional integrity, good judgment, and respect for confidentiality
