This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Legal Counsel, Corporate & Securities based in India.
This remote opportunity is designed for an experienced legal professional who wants to play a key role in supporting corporate and securities activities for a fast-growing organization. The position focuses on public-company legal matters, including SEC reporting, corporate governance, capital markets, strategic transactions, and equity programs. Working closely with senior legal leadership and cross-functional teams, the role requires strong legal judgment, ownership, and attention to detail. The successful candidate will contribute to high-impact initiatives while managing complex legal processes in an international environment. This role offers the opportunity to work with global business teams and support critical corporate operations from India.
The Legal Counsel, Corporate & Securities will support a broad range of corporate legal activities, ensuring compliance, effective governance, and smooth execution of strategic business initiatives.
- Support public-company reporting and securities compliance activities, including preparation, review, and filing of periodic and current reports, proxy statements, and related disclosures.
- Assist with corporate governance and secretarial matters, including Board and committee materials, resolutions, meeting documentation, and annual shareholder meeting coordination.
- Manage entity governance activities, including entity formation, maintenance, foreign qualifications, regulatory filings, and internal corporate records.
- Support capital markets and financing activities, including capitalization table management, due diligence, and transaction-related legal processes.
- Assist with mergers, acquisitions, and strategic transactions by coordinating diligence activities, documentation, signing processes, and closing requirements.
- Support equity compensation programs and related agreements, including administration of equity awards and expansion of equity offerings internationally.
- Partner with Finance, Accounting, HR, Commercial, Communications, and other internal teams to deliver legal guidance and support business initiatives.
- Handle confidential information with discretion while maintaining high standards of professionalism and legal accuracy.
The ideal candidate will bring strong corporate and securities law expertise, experience with U.S. public-company environments, and the ability to operate effectively in a global, fast-paced organization.
- Law degree such as a J.D., LL.M., Indian LL.B., or equivalent legal qualification from a recognized institution.
- Minimum of 3 years of relevant experience in U.S. corporate and securities law, gained at a leading U.S. law firm and/or within the legal function of a U.S. public company.
- Strong knowledge of public-company governance, SEC reporting requirements, corporate structures, earnings cycles, investor relations processes, and regulatory deadlines.
- Proven experience drafting and reviewing securities filings, governance documentation, and transactional agreements.
- Familiarity with legal technology and productivity tools such as Workiva, Diligent, SimpleLegal, Lexion, Toppan Merrill, and Microsoft Office applications.
- Strong analytical skills, sound legal judgment, and the ability to manage multiple priorities independently.
- Excellent written and verbal English communication skills, with experience collaborating with U.S.-based business teams.
- High level of integrity, professionalism, and ability to manage sensitive and confidential matters.
- Ability to work remotely with reliable internet connectivity and availability for required U.S. time zone overlap hours.

- Annual compensation range of approximately INR 3,750,000 – 5,250,000, depending on experience, skills, market alignment, and location.
