Associate General Counsel, Commercial

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for an Associate General Counsel, Commercial based in the United States.

This is a senior legal leadership opportunity supporting a growing technology organization focused on public safety and government partnerships.
You will serve as a strategic legal advisor to revenue and growth leadership, guiding complex commercial transactions and high-value opportunities.
The role combines sophisticated contract negotiation, risk management, procurement expertise, and practical business counseling.
You will work closely with sales, finance, operations, compliance, HR, and executive stakeholders to deliver commercially sound outcomes.
A key focus will be strengthening contracting processes, templates, playbooks, and systems to improve efficiency across the commercial lifecycle.
You will also help navigate the legal and regulatory considerations surrounding automated enforcement and public safety technology.
This role is well suited to an experienced commercial attorney who brings sound judgment, independence, attention to detail, and strong knowledge of state and local government contracting.

Accountabilities
  • Serve as a primary legal partner to revenue and growth leadership, advising on deal strategy, pricing structures, risk allocation, and complex commercial opportunities.
  • Draft, review, negotiate, and manage agreements with state and local government customers, including counties, cities, municipalities, and school districts.
  • Negotiate commercial agreements with vendors, suppliers, manufacturers, consultants, and other strategic partners.
  • Act as a deal desk for complex or high-value transactions, coordinating with sales, finance, operations, compliance, and other stakeholders to drive timely, practical outcomes.
  • Provide legal guidance on state and local procurement laws, contract terms, public disclosure requirements, and related regulatory considerations.
  • Advise business teams on commercial, compliance, employment, and general legal matters while balancing business objectives with appropriate risk management.
  • Manage a broad portfolio of legal matters, including contractual obligations, renewals, disputes, and other commercial issues.
  • Develop, maintain, and improve contract templates, clause libraries, playbooks, policies, and standardized legal processes to increase consistency and efficiency.
  • Identify recurring negotiation challenges, legal risks, and process gaps, recommending improvements to contracts, workflows, or business practices.
  • Audit contracts for renewal deadlines, ongoing obligations, and compliance requirements, ensuring important milestones are proactively managed.
  • Support RFP processes by reviewing legal requirements and advising teams on appropriate responses and contractual considerations.
  • Develop a strong understanding of automated enforcement, AI-enabled public safety, and related technology solutions to provide informed legal guidance during commercial negotiations.
  • Build effective working relationships across the organization and contribute to a culture grounded in integrity, collaboration, innovation, and accountability.
Requirements
  • Juris Doctor (JD) or LL.M. degree required.
  • Admission to the bar in at least one U.S. state required.
  • At least 12 years of commercial contracting experience, including substantial experience working with state and local government agencies.
  • Meaningful experience in an in-house or vendor-side commercial legal role, beyond experience exclusively representing government entities.
  • Strong knowledge of state and local government contracting laws, procurement requirements, contract terms, and public disclosure or freedom-of-information rules.
  • Demonstrated experience drafting, reviewing, and negotiating a broad range of commercial contracts, vendor agreements, and related legal documents.
  • Experience supporting RFP processes and advising on the legal requirements associated with RFP responses is preferred.
  • Proven ability to partner cross-functionally with sales, finance, leadership, HR, operations, and other business teams to understand objectives and develop practical legal solutions.
  • Strong commercial judgment and the ability to independently assess risks, anticipate potential downside, and structure agreements accordingly.
  • Demonstrated ability to work independently, prioritize competing matters, and deliver high-quality work with minimal supervision.
  • Experience creating or improving standardized legal processes, document frameworks, templates, or contract playbooks is advantageous.
  • Familiarity with contract lifecycle management or contract management software is strongly preferred.
  • Excellent attention to detail, written communication, verbal communication, negotiation, and stakeholder management skills.
  • Proficiency with Microsoft Word and PowerPoint.
  • Prior in-house experience supporting sales or revenue organizations, particularly within a growth-stage or technology environment, is preferred.
  • Experience with automated enforcement, automatic license plate recognition, smart-city technology, public safety technology, or similar government-facing solutions is a plus.
  • Prior people management experience is advantageous.
  • Willingness to travel occasionally, with expected travel of less than 10%.
  • Ability to operate effectively in a fast-paced, mission-driven environment while maintaining strong legal and ethical standards.
