Accountabilities:
  • Draft, review, and update Statements of Work (SOWs) and other commercial contracts as required.
  • Review and maintain contract templates, ensuring consistency, compliance, and alignment with business standards.
  • Analyze and respond to client redlines, negotiating terms where appropriate to protect business interests.
  • Collaborate with internal stakeholders and occasionally engage with clients and external legal counsel.
  • Support contract-related communications, including rare collection notices for overdue payments.
  • Ensure timely turnaround on contract reviews and legal requests in a fast-paced environment.
  • Maintain availability for communication via internal tools such as Slack and email to support ongoing business needs.
Requirements:
  • Licensed attorney or experienced paralegal with strong knowledge of contract law.
  • Solid understanding of U.S. contract law and intellectual property principles.
  • Prior experience reviewing or drafting IT services or professional services agreements.
  • Strong experience in commercial contract negotiation, redlining, and document review.
  • Ability to work independently with high responsiveness and strong attention to detail.
  • Excellent written and verbal communication skills, including client-facing interactions.
  • Comfortable working in a fast-paced, high-demand, remote environment with shifting priorities.
  • Strong organizational skills and ability to deliver quick turnaround times.
  • Experience with international or North American contracts (U.S. and Canada) is a plus.
Benefits:
  • Fully remote role with flexible engagement (approximately 8 hours per week or full-time contract options).
  • Opportunity to work on a steady stream of commercial contracts in a dynamic IT services environment.
  • Flexible workload suited for independent legal professionals.
  • Exposure to cross-border contracts involving U.S. and Canadian business operations.
  • Collaborative remote culture with transparent communication and responsive teams.
  • Opportunity to support impactful technology-driven projects serving nonprofit clients.
