Legal Director, Corporate and Capital Markets

This position is posted by Jobgether on behalf of a partner company. We are currently looking for a Legal Director, Corporate and Capital Markets in the United States.

This is a senior legal leadership role focused on enabling global financial infrastructure and supporting complex capital markets activity across multiple jurisdictions. You will act as a strategic legal partner to business, finance, and product teams, advising on sophisticated financing structures, corporate governance, and high-impact commercial transactions. The role spans debt financings, strategic partnerships, and emerging financial instruments, requiring both technical depth and strong business judgment. You will help shape how capital is raised, deployed, and governed within a fast-scaling, international fintech environment. Working cross-functionally, you will translate legal complexity into actionable guidance that supports growth while managing risk. This is a high-impact position where legal strategy directly influences global expansion and financial access at scale.

Accountabilities

In this role, you will provide strategic legal counsel across capital markets, corporate governance, and complex transactions, ensuring business initiatives are structured effectively and executed with legal rigor.

  • Advise on a wide range of global capital markets transactions, including debt financings, lending partnerships, forward flows, and other asset-based or structured financing arrangements.
  • Draft, review, and negotiate complex commercial agreements and transaction documentation across multiple jurisdictions.
  • Support corporate governance matters, including board processes, compliance with foundational corporate documents, and equity management structures such as cap tables and employee options.
  • Serve as a key legal advisor on strategic initiatives, including fundraising, joint ventures, and major business expansions.
  • Oversee legal due diligence processes and assess legal risks associated with corporate and financial decisions.
  • Collaborate closely with Finance, Capital Markets, Product, and cross-functional teams to enable business objectives while mitigating legal and regulatory risk.
  • Help develop and implement internal legal policies and operational frameworks to improve efficiency and consistency.
Requirements

The ideal candidate is an experienced corporate and capital markets attorney with strong transactional expertise and the ability to operate in a fast-paced, global environment.

  • Juris Doctor (JD) degree from an accredited law school and active bar admission in at least one U.S. state.
  • 6+ years of legal experience in a law firm and/or in-house corporate legal environment, with a focus on capital markets or complex commercial transactions.
  • Strong expertise in corporate governance, structured finance, and cross-border transaction work.
  • Proven ability to draft, negotiate, and manage sophisticated legal agreements and financing structures.
  • Excellent analytical, negotiation, and communication skills with strong business judgment.
  • Ability to manage multiple priorities independently in a high-growth, international environment.
  • Experience in fintech, emerging markets, or in-house corporate roles is considered a strong advantage.
