Associate General Counsel, Nonprofit Compliance

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for an Associate General Counsel, Nonprofit Compliance based in the United States.

We are seeking an experienced legal leader to oversee nonprofit compliance strategy and help strengthen mission-driven operations through effective legal frameworks.
This role provides the opportunity to shape compliance programs, advise senior leaders, and manage complex regulatory matters across charitable, advocacy, and nonprofit activities.
You will serve as a trusted legal advisor, translating evolving regulations into practical policies, systems, and solutions that support organizational impact.
The position combines strategic leadership, legal expertise, and people management within a collaborative and purpose-driven environment.
You will work closely with executive teams, legal professionals, finance partners, and operational stakeholders to identify risks and enable responsible growth.

Accountabilities

The Associate General Counsel, Nonprofit Compliance will lead the development and execution of comprehensive legal compliance programs, providing strategic guidance on nonprofit regulations, risk management, and organizational governance. The role involves:

  • Leading and advancing compliance programs related to nonprofit, charitable, tax-exempt, and corporate legal requirements.
  • Managing the internal assessment and audit function, including establishing priorities, planning reviews, and overseeing execution.
  • Developing and maintaining policies, procedures, and systems that support effective compliance and risk mitigation.
  • Overseeing federal and state registration, reporting, charitable fundraising, lobbying disclosures, campaign finance compliance, and related regulatory obligations.
  • Providing legal guidance on nonprofit tax matters, including charitable activities, expenditure responsibility, private benefit considerations, and unrelated business income tax (UBIT).
  • Advising on lobbying regulations, advocacy activities, political restrictions, ballot initiatives, and election-related compliance requirements.
  • Responding to regulatory inquiries, investigations, and requests from government agencies and other external stakeholders.
  • Monitoring legislative and regulatory developments affecting nonprofit organizations and translating changes into actionable guidance.
  • Supporting contract drafting and review, particularly for compliance-related systems, partnerships, and operational agreements.
  • Overseeing risk management initiatives, including insurance programs, anti-corruption processes, OFAC compliance, payment controls, and related legal safeguards.
  • Driving the adoption of technology and automation solutions to improve compliance efficiency and effectiveness.
  • Leading, mentoring, and developing the legal compliance team, including hiring, coaching, performance management, and professional growth.
  • Collaborating with legal, finance, operations, and partner-facing teams to embed compliance practices throughout organizational activities.
Requirements

The ideal candidate is an experienced nonprofit attorney and compliance leader with deep knowledge of tax-exempt organizations, regulatory frameworks, and organizational risk management. Candidates should bring:

  • Juris Doctor (JD) degree and active California law license or registered in-house counsel qualification.
  • 8+ years of legal experience advising nonprofit tax-exempt organizations, including at least 3 years supervising or leading compliance teams and full-time staff.
  • Deep expertise in laws and regulations governing 501(c)(3) public charities and related nonprofit structures, including relationships between affiliated tax-exempt entities.
  • Strong knowledge of federal and state lobbying regulations, political activity restrictions, campaign finance rules, ballot measure compliance, and advocacy requirements.
  • Experience designing, implementing, and managing nonprofit compliance programs, policies, and operational systems.
  • Ability to translate complex legal requirements into practical, efficient, and business-oriented solutions.
  • Strong understanding of nonprofit tax issues, including charitable purpose, private benefit, inurement, expenditure responsibility, and UBIT considerations.
  • Experience advising on general corporate compliance matters such as conflicts of interest, OFAC requirements, anti-bribery regulations, payment compliance, and foreign agent registration obligations.
  • Demonstrated ability to lead teams, manage priorities, and build effective compliance functions.
  • Excellent judgment when handling confidential, sensitive, and high-impact legal matters.
  • Strong written and verbal communication skills, with the ability to advise executives, senior leaders, and non-legal stakeholders.
  • Ability to collaborate effectively in a values-driven environment focused on accountability, transparency, respect, and inclusion.
  • Experience with fiscal sponsorship, grantmaking, and multi-entity nonprofit structures is strongly preferred.
  • Familiarity with Salesforce and Microsoft Office tools is a plus.
