This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Senior Legal Counsel - Corporate based in Romania.
As a Senior Legal Counsel - Corporate, you will play a pivotal role in supporting strategic business growth through expert legal guidance on corporate governance, transactions, and international corporate structuring. Working closely with executive leadership and cross-functional stakeholders, you will advise on complex legal matters that directly impact business operations and long-term expansion. This role offers exposure to a wide range of corporate activities, including fundraising, mergers and acquisitions, investments, and global entity management. - Lead and support corporate transactions, including fundraising activities, mergers and acquisitions, investments, and other strategic business initiatives.
- Draft, review, negotiate, and manage transaction documentation, investment agreements, and related corporate legal instruments.
- Conduct and coordinate legal due diligence processes, ensuring compliance and risk mitigation throughout transactional activities.
- Oversee corporate governance and company secretarial matters for multiple international entities, ensuring ongoing compliance with applicable local regulations.
- Manage employee equity and stock option plans, including associated legal documentation, administration, and regulatory requirements.
- Support the development and execution of international corporate structuring initiatives, including the creation and management of new legal entities.
- Provide practical and strategic corporate legal advice to founders, executives, and internal stakeholders on a broad range of business matters.
- Collaborate closely with finance teams, external legal counsel, and other business functions to support organizational objectives.
- Contribute to legal operations, process improvements, and additional business law matters as required.
- Master's degree in Business Law or a related legal discipline; additional qualifications such as an LLM, business school degree, or political science background are considered advantageous.
- Qualified to practice law in France (CAPA required).
- 4 to 6 years of post-graduation professional experience specializing in corporate law.
- Strong experience supporting corporate transactions, including investments, financing rounds, mergers and acquisitions, and corporate governance matters.
- Excellent drafting, negotiation, and legal analysis skills with strong attention to detail.
- Proven ability to work independently while managing multiple priorities in a fast-paced environment.
- Full professional proficiency in both French and English, written and spoken.
- Strong communication and stakeholder management skills, with the ability to explain complex legal concepts clearly and pragmatically.
- Experience advising startups, scale-ups, or high-growth technology businesses is highly desirable.
- Exposure to additional areas of business law is considered a plus.
- Proactive, solution-oriented mindset with the ability to balance legal risk and commercial objectives.
