JOB OVERVIEW

The General Counsel serves as a senior executive responsible for providing strategic legal leadership while overseeing the performance, compliance, and risk management of the firm’s investment portfolio. This role integrates legal governance with hands-on asset management, ensuring investments are structured, managed, and exited in alignment with regulatory requirements, contractual obligations, investor expectations, and long-term business objectives.

The role partners closely with executive leadership, investment teams, asset managers, and external counsel to support transactions, manage post-close asset performance, and proactively identify and mitigate legal, financial, and operational risks across the portfolio. This role also serves as a member of the Senior Leadership Team, contributing to the development and execution of company-wide strategy.

RESPONSIBILITIES

Legal Leadership & Governance

  • Serve as the firm’s chief legal advisor, providing counsel on corporate governance, regulatory compliance, transactional matters, and risk management across all investment activities.
  • Serves as a member of the Senior Leadership Team, contributing to the development and execution of company-wide strategy.
  • Manage relationships with external legal counsel, ensuring cost-effective, timely, and high-quality legal support.
  • Advise senior leadership on legal risks impacting existing assets, new investments, and strategic initiatives.
  • Establish and maintain internal legal policies, procedures, and controls to support compliant operations across the investment lifecycle.
  • Support regulatory, audit, and compliance matters related to asset performance and investment structures.
  • Partner with investment, underwriting, and finance teams during due diligence and transaction execution to ensure legal and asset management considerations are fully integrated.
  • Support post-close transitions from transaction execution to active asset management.
  • Contribute to special projects and strategic initiatives related to portfolio optimization, risk mitigation, and operational improvement.

Asset Management & Portfolio Oversight

  • Provide leadership, mentorship, and guidance to asset management/portfolio servicing and legal-related team members.
  • Guide asset managers in proactively managing their investments, in resolving asset-level issues, including restructures, amendments, waivers, and enforcement actions.
  • Oversee asset-level compliance, including monitoring covenants, regulatory requirements, and program-specific obligations tied to tax credit or structured investments.
  • Identify, assess, and mitigate operational and financial risks
  • Review and interpret legal, financial, and operational documentation to support ongoing asset management decisions.
  • Oversee the preparation and presentation of portfolio reviews, investor reporting, and internal performance analyses.
Requirements:

REQUIREMENTS

  • Juris Doctor (J.D.) required; active license to practice law in good standing.
  • 5+ years of experience in investment management, real estate, structured finance, or similar asset classes.
  • Demonstrated expertise in legal document review, negotiation, and interpretation within an investment or asset management context.
  • Excellent leadership, communication, and stakeholder management skills.
  • Highly organized, detail-oriented, and capable of balancing legal precision with commercial decision-making in a fast-paced environment.
