Transactional Attorney

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Transactional Attorney based in United States.

This opportunity is designed for experienced legal professionals who want to apply their transactional expertise to the development of next-generation AI solutions.
The role combines commercial contract expertise with AI training and evaluation, helping improve how intelligent systems understand and support legal workflows.
You will leverage your experience in drafting, reviewing, negotiating, and redlining technology agreements to provide high-quality legal insights.
Your work will directly contribute to improving AI models’ ability to identify contractual risks, interpret legal language, and deliver accurate recommendations.
This part-time remote contractor position offers the chance to collaborate with multidisciplinary teams across legal, product, research, and engineering functions.

Accountabilities:

The role focuses on applying practical transactional legal expertise to train, evaluate, and enhance AI-powered legal solutions. Key responsibilities include:

  • Perform simulated contract negotiations and redlining exercises across various commercial agreements.
  • Review and assess AI-generated responses to contract-related scenarios, providing detailed legal feedback to improve accuracy and reasoning.
  • Create evaluation criteria, scoring frameworks, and quality standards for measuring AI performance in contract drafting and negotiation tasks.
  • Collaborate with product, research, and engineering teams to refine AI training data, legal guidelines, and contract review workflows.
  • Apply legal judgment to identify contractual risks, ambiguities, and negotiation strategies within complex commercial agreements.
  • Provide subject matter expertise to improve AI systems supporting legal research, contract analysis, and transactional workflows.
  • Contribute insights that help develop more reliable and context-aware AI solutions for legal professionals.
Requirements:

The ideal candidate combines strong transactional law experience with an interest in emerging technologies and AI-driven legal innovation. Required qualifications and skills include:

  • Juris Doctor (J.D.) degree from an ABA-accredited law school.
  • Active bar membership in at least one U.S. jurisdiction.
  • Minimum of 3 years of in-house legal experience focused on technology transactions.
  • Extensive experience drafting, reviewing, negotiating, and redlining commercial agreements, including Master Services Agreements (MSAs), Non-Disclosure Agreements (NDAs), and Data Processing Agreements (DPAs).
  • Strong understanding of contract risk assessment, negotiation strategies, and commercial legal practices.
  • Excellent written and verbal communication skills with strong attention to detail.
  • Ability to translate legal expertise into structured, actionable feedback.
  • Strong analytical and problem-solving abilities.
  • Experience collaborating with cross-functional teams in dynamic environments.
  • Demonstrated interest in legal innovation, artificial intelligence, and emerging technologies.
  • Preferred experience with AI tools, legal technology platforms, AI training projects, contract lifecycle management (CLM) systems, or enterprise contract solutions.
  • Additional experience in corporate law firms, M&A transactions, or private equity fund formation is a plus.
