This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a M&A Integration and Carve-Out Practitioner based in Germany.
The M&A Integration and Carve-Out Practitioner will help private equity investors and portfolio company leaders navigate complex technology decisions during mergers, acquisitions, integrations, and business separations. This senior, hands-on role focuses on assessing technology risks, validating transaction assumptions, and building realistic plans for Day 1 readiness and long-term value creation. You will work directly with investment teams, operating partners, and senior technology executives in fast-paced transaction environments where decisions often need to be made with incomplete information. The role spans pre-close diligence, sign-to-close planning, and post-close execution, with opportunities to lead integration or separation workstreams and provide interim technology leadership. Success requires strong operational judgment, commercial awareness, and the ability to translate technical complexity into clear investment and execution decisions. You will join a collaborative team of experienced practitioners that combines proven methodologies, technology expertise, and data-driven insights to deliver measurable outcomes.
Lead technology due diligence: Assess technology integration and separation requirements before signing or closing, partnering with private equity deal teams, operating partners, and target company leadership to identify critical risks and opportunities.
Evaluate technology environments: Review enterprise applications, infrastructure, cloud platforms, cybersecurity, identity management, data, integrations, IT service management, vendors, organizational structures, and operating models.
Identify transaction risks and value drivers: Analyze technology dependencies, shared services, stranded costs, key-person risks, and operational constraints that could affect deal valuation, transaction terms, Day 1 readiness, or the value creation plan.
Assess feasibility and financial implications: Determine whether proposed integration, separation, or standalone technology models are achievable, estimating one-time costs, ongoing operating expenses, investment requirements, potential synergies, and realistic delivery timelines.
Review transition service agreements: Evaluate proposed technology TSAs, identifying gaps in scope, service levels, duration, cost, business continuity, and exit feasibility.
Develop sign-to-close plans: Translate diligence findings into actionable plans with clear milestones, responsibilities, dependencies, costs, decisions, and escalation procedures.
Define Day 1 technology readiness: Establish requirements for applications, infrastructure, cybersecurity, identity and access, data, integrations, service support, and vendor continuity.
Shape technology transition strategies: Develop or challenge application disposition, infrastructure consolidation or separation, data migration, identity transition, cybersecurity, and vendor transition plans.
Design operating models and governance: Help define interim and target technology operating models, organizational structures, sourcing decisions, leadership requirements, and governance frameworks.
Lead post-close execution: Where follow-on engagements are awarded, manage technology integration or separation workstreams through stabilization, critical milestones, and TSA exit.
Provide senior transition leadership: Take on Integration Management Office or Separation Management Office responsibilities, or serve as an interim or fractional CIO or senior technology leader when clients need hands-on operational leadership.
Drive accountability and business continuity: Hold internal teams, vendors, and implementation partners accountable for results while protecting operational stability and the transaction's investment objectives.
Collaborate with senior stakeholders: Communicate complex technical findings and recommendations clearly to investment committees, boards, CIOs, CTOs, CISOs, and technical delivery teams.
Contribute to engagement development: Support project scoping and proposals with practical delivery insights while maintaining primary responsibility for client work and outcomes.
Build expertise in the delivery approach: Complete an initial apprenticeship across at least two engagements, learn established transaction methods and quality standards, and progress toward leading assignments independently.
At least 15 years of technology experience, including significant responsibility for enterprise technology strategy, operations, transformation, or delivery.
Demonstrated personal accountability for multiple technology integrations, separations, or carve-outs, including at least one transaction involving meaningful pre-close planning and post-close execution.
Broad working knowledge of enterprise applications, infrastructure, cloud, cybersecurity, identity, data, integrations, IT service management, vendor management, organizational design, and technology operating models.
Strong judgment when assessing architecture, technical dependencies, operational risks, and transition feasibility, with the confidence to challenge senior technology leaders and make practical decisions across multiple technical domains.
Hands-on experience developing or challenging Day 1 readiness plans, TSA strategies, application disposition decisions, target operating models, technology roadmaps, and execution plans.
Commercial and financial fluency, including the ability to estimate and explain one-time transaction costs, recurring operating expenses, investment needs, potential synergies, and underlying assumptions.
Excellent written and verbal communication skills, with the ability to turn complex technical information into concise, actionable recommendations for investment and operational decisions.
A self-directed, pragmatic, and accountable working style, with a strong commitment to quality, delivery, and client outcomes.
Ability to operate effectively in fast-moving transaction environments with incomplete information, compressed timelines, and changing assumptions.
Willingness and ability to work remotely, collaborate across time zones, and travel to client sites when required.
Preferred experience: Previous leadership as a CIO, CTO, Technology Director, Head of IT, Head of Technology Transformation, M&A Technology Lead, Integration or Separation Technology Lead, enterprise architect, or senior leader in enterprise applications, infrastructure, or cybersecurity.
Preferred experience: Exposure to private equity investors, operating partners, or private-equity-backed management teams.
Preferred experience: Buy-side and sell-side transactions, including corporate divestitures, platform acquisitions, and add-on acquisitions.
Preferred experience: Establishing standalone technology environments, exiting TSAs, consolidating application or infrastructure estates, and leading complex data or identity transitions.
Preferred experience: Advisory or consulting experience; however, direct operational experience and personal responsibility for delivery are particularly valued.
Preferred education: A bachelor's degree in computer science, engineering, information systems, business, or a related field. Equivalent professional experience is also highly valued.
Preferred qualifications: Relevant certifications in technology, enterprise architecture, cybersecurity, cloud computing, or program leadership are advantageous but not mandatory.
