Job Description

Job Summary
Responsible for advising and offering counsel to the Company President and executive leadership team for legal matters, contractual matters, and business strategy. Works with the President and staff to support compliance issues, advise on contractual issues, and mitigate risks across the business. The General Counsel will be responsible for making decisions with the President in accordance with the delegation of authority.
Essential Duties & Responsibilities
• Assess legal risks and provide strategic advice and counsel to company executives, and to relevant departments regarding legal and contracts matters that may affect the Company.
• Implement the business strategy as directed by Company President.
• Provide legal options, recommendations, and strategy to enable the Company to meet its tactical and strategic objectives.
• Working with the Compliance Team, support assessment of the current company processes, procedures, and compliance systems, then implement processes and procedures to ensure Company compliance with all laws, regulations and requirements for US Government contracts.
• Ensure the Company maintains a robust and improving compliance program.
• Review contracts and proposals, as requested, for quality, compliance, and strategy.
• Support negotiation of contracts on behalf of the Company as requested by VP of Contracts and Supply Chain.
• Support as requested on US Government, foreign government, and commercial contracts related to terms and conditions and disputes arising during negotiation or contract execution.
• Represent the Company to customers, business partners, and suppliers.
• Train, supervise and direct functions and employees as assigned by the Company President.
• Maintain a presence in business matters to identify legal issues, provide solutions, and assist in successful execution where applicable.
• Develop and maintain relationships with relevant government agencies, ensuring a comprehensive understanding of regulatory requirements and changes in the defense and commercial firearms industries.
• Develop and maintain relationships with outside law firms with capabilities and expertise relevant to the Company.
• Oversee and manage any legal disputes, including litigation, arbitration, and other legal proceedings involving the Company.
• Plan and maintain the Company’s legal budget.
• Protect and manage the Company’s intellectual property, including trademarks, patents, and trade secrets.
• Provide guidance on corporate governance matters, ensuring compliance with all legal and regulatory requirements.
• Implement and oversee effective ethics and compliance programs to maintain the highest standards of integrity within the organization.
Qualifications & Requirements
• Candidates must be considered ITAR Authorized US Persons as defined under 22 CFR § 120.62.
• Candidates must be lawfully permitted and comfortable working in facilities with access to firearms and munitions.
• This position reports onsite at our offices in Tampa (this is not a remote or hybrid role).
• Legal Education: Juris Doctor (JD) degree from an accredited law school is required.
• License to Practice Law: The candidate should be a licensed attorney in the jurisdiction where the company operates.
• Experience: Substantial legal experience, 7 to 15 years, with a focus on corporate law, contract negotiation, and regulatory compliance. Prior in-house counsel experience preferred.
• Industry Knowledge: Specific Defense Industry experience of at least 5 years to ensure understanding of the specific legal challenges and regulations relevant to our industry.
• Direct knowledge and experience with US Government Contract law including knowledge of FAR and DFARS and at least 5 years’ experience providing counsel on US Government contracts. Contracts experience with foreign government contracts is a plus.
• Communication Skills: Excellent communication skills, both written and verbal, while effectively interacting with internal stakeholders, external partners, and regulatory authorities.
• Strategic Thinking: The ability to think strategically and provide legal guidance aligned with the company's business goals.
• Problem-Solving Skills: General Counsels often need to navigate complex legal issues and find practical solutions that balance legal requirements with business objectives.
• Ethical Conduct: High ethical standards and integrity are critical, as the General Counsel plays a key role in advising the company on legal matters and ensuring compliance.
• Negotiation Skills: Strong negotiation skills are important for dealing with contracts, settlements, and other legal agreements.
• Risk Management: The ability to assess and manage legal risks is crucial in protecting the company's interests and preventing legal disputes.
• Adaptability: Given the dynamic nature of the business environment, the General Counsel should be adaptable to changes and evolving legal landscapes.
• ISO 9001:2015 training.
Physical Demands & Abilities
• Regularly spend long hours sitting and using office equipment and computers.
• Regularly move from sitting to standing positions effortlessly.
• Frequently work on projects that require deadlines.
Working Conditions
• Work will be mostly completed in a climate-controlled office environment, but requires some business travel.
