Sr. Director of Commercial and Legal Affairs

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Sr. Director of Commercial and Legal Affairs based in United States.

This is a senior in-house legal leadership role focused on commercial, privacy, and product matters within a fast-growing technology environment.
You will lead complex enterprise SaaS and strategic partnership transactions while serving as a trusted advisor to senior business leaders.
The role combines sophisticated commercial contracting with global privacy, data protection, AI, and product counseling.
You will partner closely with Sales, Product, Engineering, Security, Compliance, Finance, and other cross-functional teams.
A key focus will be building scalable legal processes, playbooks, and technology-enabled workflows that support business growth.
You will also lead, mentor, and develop legal professionals while helping shape a pragmatic, high-performing legal function.
This fully remote, US-based opportunity offers significant influence over business strategy, innovation, and responsible growth.

Accountabilities:
  • Lead the commercial legal function and serve as the senior legal owner for complex, high-value, and strategic technology transactions, including enterprise SaaS agreements, MSAs, SOWs, partnerships, channel and reseller agreements, professional services agreements, and related contracts.
  • Draft, review, negotiate, and provide strategic guidance on sophisticated commercial agreements, escalating and resolving complex or high-risk negotiations with Sales, Business Development, executives, and other stakeholders.
  • Ensure commercial terms support business objectives, appropriate risk tolerance, customer relationships, and long-term growth.
  • Advise the organization on global privacy and data protection matters, including GDPR, CCPA, data protection agreements, privacy terms, and contractual obligations.
  • Partner with Security, Compliance, Product, and Engineering teams to identify privacy risks and embed appropriate data protection practices into products, processes, and commercial arrangements.
  • Serve as a senior legal advisor to Product and Engineering throughout the product lifecycle, including product design, development, launch, data use, intellectual property, open-source software, AI, machine learning, and emerging regulatory considerations.
  • Advise on the legal, commercial, privacy, and contractual implications of AI-powered products and workloads while helping teams adopt AI responsibly and efficiently.
  • Develop and continuously improve legal playbooks, templates, policies, negotiation frameworks, and scalable contracting processes.
  • Use AI-enabled legal and contracting tools to improve speed, consistency, quality, and operational efficiency while maintaining appropriate legal controls.
  • Partner with Legal Operations to enhance workflows, technology, reporting, and processes supporting commercial and privacy activities.
  • Monitor developments affecting cloud services, SaaS, technology transactions, privacy, AI, and related regulatory areas and translate them into practical business guidance.
  • Build strong relationships across Sales, Product, Engineering, Marketing, Finance, Security, Compliance, and senior leadership, providing clear and commercially focused legal advice.
  • Deliver training and guidance on contracting practices, privacy requirements, risk management, and legal processes.
  • Lead, mentor, coach, and develop legal professionals, while setting priorities, allocating resources, supporting performance, and ensuring consistent, high-quality legal coverage.
  • Collaborate with broader Legal & Compliance leadership on organizational planning, resourcing, transformation, and process improvements.
Requirements
  • J.D. degree and active U.S. bar membership in good standing.
  • 10+ years of relevant legal experience, including substantial experience leading and negotiating complex technology transactions, enterprise SaaS agreements, and strategic partnerships.
  • Significant in-house legal experience, ideally within a high-growth technology, cloud, or SaaS organization.
  • Deep knowledge of SaaS business models, cloud services, enterprise sales motions, partner and channel relationships, and global commercial operations.
  • Strong working knowledge of global privacy and data protection laws, with the ability to translate regulatory requirements into practical commercial and product guidance.
  • Demonstrated experience counseling Product and Engineering teams throughout the product development and launch lifecycle.
  • Strong understanding of legal considerations surrounding AI, including AI-enabled products, AI-assisted contracting, data use, AI governance, and emerging regulation, or the ability and willingness to develop this expertise rapidly.
  • Proven experience managing, mentoring, and developing legal professionals in an in-house environment.
  • Demonstrated ability to influence senior stakeholders and collaborate effectively across business, technical, and legal functions.
  • Excellent judgment and decision-making skills, with the ability to balance legal risk against commercial objectives in a fast-paced environment.
  • Strong communication skills, including the ability to translate complex legal matters into concise, actionable, business-friendly advice.
  • Pragmatic, hands-on, solutions-oriented approach with a high degree of ownership and accountability.
  • Strong strategic planning, prioritization, negotiation, project management, and organizational skills.
  • Comfort operating in an evolving environment and managing multiple high-priority initiatives simultaneously.
  • Familiarity with AI-enabled legal technology and a willingness to use emerging tools to improve legal efficiency and scale.
