You will provide expert legal guidance on carbon credit generation, carbon finance structures, and large-scale environmental transactions involving diverse stakeholders such as sovereign entities, NGOs, and private-sector partners. The position requires deep engagement with multidisciplinary teams to structure, negotiate, and execute innovative agreements that advance climate-focused initiatives. - Provide legal counsel on complex carbon finance, climate initiatives, and global conservation transactions across multiple jurisdictions.
- Structure, draft, and negotiate agreements including carbon credit generation, offtake arrangements, pre-payment agreements, and financing transactions.
- Advise on corporate structuring, governance, and compliance for global programs, subsidiaries, and affiliated entities.
- Support transactions involving for-profit entities, NGOs, sovereign and quasi-sovereign partners, ensuring legal soundness and mission alignment.
- Collaborate with cross-functional teams to design and implement innovative climate and carbon market solutions.
- Assess legal, regulatory, and transactional risks while ensuring adherence to internal policies and external requirements.
- Translate complex and novel legal issues into clear, actionable guidance for non-legal stakeholders and leadership.
- Contribute to broader corporate legal functions, including governance support for subsidiaries and affiliated organizations.
- Juris Doctor (JD) degree or equivalent with active license to practice law in at least one U.S. jurisdiction.
- Minimum of 5 years of legal experience with strong exposure to complex commercial or transactional work.
- Demonstrated expertise in carbon markets, climate finance, or environmental regulatory frameworks.
- Experience drafting and negotiating sophisticated agreements, including financial, commercial, or cross-border contracts.
- Strong corporate law background, including entity structuring and governance experience.
- Ability to manage multiple complex projects simultaneously in a fast-paced, collaborative environment.
- Strong analytical, negotiation, and risk assessment skills with sound business judgment.
- Excellent communication skills with the ability to explain complex legal concepts to diverse, non-legal audiences.
- Experience working with international stakeholders, outside counsel, and cross-cultural teams is highly valued.
- Familiarity with carbon regulations, tax-exempt organizations, or evolving climate policy trends is a plus.
- Competitive salary range of $125,000 – $175,000 USD annually, depending on experience and location.
