Description:

We are seeking a Corporate Counsel – Construction & Commercial to support the Chief Legal Officer and provide day-to-day legal support for a growing, multi-state organization operating within the construction, reconstruction, restoration, mitigation, packout, abatement, demolition, and related services industries.

This is a hands-on attorney position focused on commercial contracts, construction-related legal matters, claims and disputes, corporate matters, regulatory research, and operational legal support.

The Corporate Counsel will independently manage routine legal matters within established Company standards while escalating significant, high-exposure, precedent-setting, or enterprise-level matters to the Chief Legal Officer.

Requirements: Key ResponsibilitiesContracts & Commercial Matters
  • Draft, review, revise, and negotiate commercial agreements.
  • Review customer contracts, master service agreements, subcontractor agreements, vendor agreements, purchase orders, professional services agreements, NDAs, leases, and related agreements.
  • Identify contractual risks involving indemnification, insurance, limitation of liability, warranties, payment terms, termination, and dispute resolution.
  • Utilize Company-approved templates and contracting standards.
  • Escalate significant contractual deviations or material exposure to the Chief Legal Officer.
Construction & Operational Legal Support
  • Provide legal support regarding construction and restoration operations.
  • Research contractor licensing and state-specific construction requirements.
  • Assist with mechanics' liens, bond claims, payment disputes, construction defects, warranty matters, change orders, scope disputes, delays, and project claims.
  • Review project documentation and assist business teams with contractual notices and dispute documentation.
  • Provide practical legal guidance to operational teams throughout the project lifecycle.
Claims, Litigation & Disputes
  • Support the CLO with litigation, arbitration, mediation, and commercial disputes.
  • Coordinate information and documentation required by outside counsel.
  • Assist with litigation holds, document preservation, discovery, subpoenas, and records requests.
  • Research factual and legal issues and prepare recommendations and legal memoranda.
  • Assist with early assessment and resolution of commercial and construction-related disputes.
Corporate & Entity Matters
  • Support entity formation, registration, qualification, and maintenance.
  • Prepare routine corporate resolutions, consents, certifications, and governance documents.
  • Assist with maintenance of corporate legal records.
  • Support due diligence associated with acquisitions and strategic transactions.
  • Assist with post-acquisition legal integration activities.
Regulatory & Compliance Support
  • Research federal, state, and local legal requirements affecting Company operations.
  • Assist with contractor licensing and other operational regulatory matters.
  • Monitor assigned legal developments and communicate material changes to the CLO.
  • Assist with development of legal policies, procedures, templates, and compliance resources.
  • Support responses to regulatory inquiries as directed by the CLO.
Employment Legal Support
  • Conduct legal research regarding employment-law matters presented by Human Resources.
  • Assist the CLO with agency charges, demand letters, employment disputes, and related documentation.
  • Review employment-related agreements and legal documents as assigned.
  • Support legally sensitive internal investigations under the direction of the CLO when attorney involvement or privilege is appropriate.
Legal Operations
  • Maintain organized legal files, contract records, matter tracking, and deadlines.
  • Assist with outside counsel management and legal invoice review.
  • Develop standardized legal forms, templates, checklists, and reference materials.
  • Provide legal training and practical guidance to business teams regarding recurring contractual and legal issues.
  • Support continuous improvement of Legal department processes and systems.
Required Qualifications
  • Juris Doctor (J.D.) from an ABA-accredited law school.
  • Active license to practice law and good standing in at least one U.S. jurisdiction.
  • 3+ years of relevant legal experience.
  • Demonstrated contract drafting, review, and negotiation experience.
  • Strong legal research, analytical, and written communication skills.
  • Ability to translate legal requirements into practical business guidance.
  • Ability to independently manage multiple matters, competing priorities, and deadlines.
Preferred Qualifications
  • 3–7 years of relevant legal experience.
  • Construction law, commercial contracting, corporate law, litigation, insurance, real estate, or related experience.
  • In-house corporate experience.
  • Construction, restoration, engineering, contracting, or multi-location business experience.
  • Experience with construction contracts, contractor licensing, liens, claims, or disputes.
  • Experience supporting a multi-state organization.
Role Scope & Authority

Corporate Counsel will independently manage routine legal matters within established Company legal standards and authority.

Significant litigation, major regulatory matters, material contractual deviations, acquisitions, enterprise governance matters, significant employment claims, high-exposure disputes, and matters capable of establishing Company precedent will be escalated to the Chief Legal Officer.

The Corporate Counsel will work collaboratively with Operations, Human Resources, Finance, Risk Management, Safety, Accounting, and other corporate and field leadership while remaining within the Legal department's reporting structure.

Ideal Candidate

The ideal candidate is a commercially minded attorney who can work independently without losing sight of when a matter requires escalation.

We are seeking someone who can provide a legal answer while also understanding the operational question behind it. The successful candidate will be comfortable working in a fast-paced environment, managing multiple priorities, and supporting a business operating across multiple jurisdictions.
