Accountabilities:
  • Lead complex renewable energy financing transactions, serving as the senior attorney and managing deals with minimal oversight.

  • Draft, review, revise, and negotiate financing documentation, from term sheets to definitive transaction documents and ancillary agreements.

  • Advise on a broad range of financing structures, including construction and permanent debt, back-leverage, HoldCo and corporate financing, tax equity, and tax credit transfers.

  • Coordinate with clients, colleagues, and external professionals to manage transaction matters and support successful outcomes.

  • Oversee and support attorney teams throughout complex transactions, while providing guidance and mentorship to junior lawyers.

  • Manage multiple matters simultaneously, maintaining strong organization and meeting demanding deadlines.

  • Follow firm policies, practices, and priorities, and undertake additional responsibilities as requested by management.

Requirements:
  • At least 8 years of law firm experience in a practice serving clients in renewable energy or related industries.

  • Extensive experience with debt and tax equity project financing, including construction and permanent debt, back-leverage, HoldCo and corporate financing, and tax credit transfers.

  • Demonstrated ability to act as lead counsel on sophisticated financing transactions, independently managing deals and supporting legal teams with minimal supervision.

  • A strong foundation in corporate law; experience leading project and portfolio M&A transactions is also valued.

  • Excellent drafting, negotiation, analytical, organizational, and project management skills.

  • Strong written and verbal communication skills, with the ability to manage several complex matters under pressure and strict deadlines.

  • A collaborative, team-oriented approach and a commitment to mentoring junior attorneys.

  • Ability to work effectively in a fully remote environment.

  • Admission to and good standing with the Bar of the state where you reside.

  • A genuine commitment to advancing the clean energy transition.

Benefits:
  • Base salary starting at $265,000, with the final amount determined by experience, relevant expertise, business needs, and market factors.

  • Annual merit-based bonuses.

  • Additional bonuses for exceeding the annual billable hour requirement and for originating new clients and matters, based on a percentage of revenue received.

  • Annual billable hour requirement of 1,200 hours.

  • Fully remote work, with the flexibility to work from anywhere you are licensed to practice law.

  • Annual in-person team retreat.

  • 401(k) plan with firm profit-sharing matching.

  • Health, dental, vision, and prescription insurance.

  • Paid time off and paid holidays.
