Job Description
We are seeking a detail-oriented and commercial-minded Contract Specialist to join our team. In this role, you will play a crucial part in managing the contracting process, reviewing commercial agreements, and safeguarding GoGoX against operational and commercial risks. You will act as a key bridge between legal standards and business objectives, supporting various internal teams while helping drive our legal technology initiatives.
What You Will Deliver- Review inbound customer, vendor and partner contracts, quotations, tender terms and NDAs; identify deviations from GoGoX standard terms and flag commercial and operational risks (liability caps, indemnities, insurance, payment terms, termination rights, exclusivity, service levels, IP and confidentiality).
- Prepare first drafts of agreements, addenda, extension letters, undertakings and consumer T&Cs from GoGoX templates; tailor terms to the deal while keeping to approved positions.
- Review tender and RFQ documents for onerous terms, compliance requirements and required supporting documents; coordinate supplier registration, due-diligence questionnaires, anti-corruption declarations and codes of conduct.
- Coordinate execution by wet-ink signature, company chop and e-signature; check signing authority and entity details; maintain the contract register, retrieve signed copies on request and track renewal and expiry dates.
- Help maintain and improve GoGoX templates, standard clauses, playbook positions and FAQs; identify recurring requests that can be standardised or self-served by the business.
- Support the team's legal technology and AI initiatives, for example using AI tools for first-pass review and summaries, and helping to build structured contract data.
- Collaborative Partner: You work directly with Sales, Operations, Marketing and Country teams to understand the commercial deal, explain proposed changes in practical terms, and support negotiation calls or email exchanges with counterparties.
- Meticulous & Organized: You possess meticulous attention to detail with the ability to handle a high volume of requests, prioritise, and meet business deadlines without losing accuracy.
- Independent & Discerning: You are confident working independently and remotely from the Hong Kong team. You have good judgement about when to ask, when to escalate, and can recognise when a matter needs a lawyer (e.g., personal data, employment, litigation or demand letters, regulatory correspondence, related-party or listed-company issues, non-standard liability).
- Experience: Around 3 to 6 years of hands-on experience reviewing, drafting and negotiating commercial contracts in an in-house legal, contracts, procurement, commercial or paralegal role. Logistics, transport, e-commerce, technology platform or other B2B services experience is an advantage.
- Education: A degree or diploma in law, business, or a related field, or an equivalent professional qualification (for example a paralegal or contract management certification). Admission as a lawyer is not required.
- Commercial Acumen: Solid working knowledge of standard commercial clauses and how they allocate risk, and the ability to explain them to non-legal colleagues.
- Communication & Tools: Excellent written and spoken English; comfortable drafting clear, professional emails and mark-ups in Microsoft Word with tracked changes.
