Position Summary :
Legal Counsel serves as a trusted legal advisor to the Sales organization and executive leadership team, providing practical, business-focused legal guidance that enables growth while managing risk. This role is responsible for drafting, reviewing, negotiating, and advising on a broad range of commercial agreements, with large portion being construction and service contracts. This role partners closely with Sales, Finance, Operations, Projects, and Executive Leadership teams to support strategic business initiatives, accelerate contract execution, and ensure compliance with legal and regulatory requirements.
The ideal candidate combines strong technical legal expertise with excellent business judgment, communication skills, and a customer-focused mindset.
Key Responsibilities
Commercial Contracting
- Draft, review, negotiate, and manage a wide range of commercial agreements, including but not limited to:
- Construction Agreements
- Government (US and Canada) Contracts
- Master Service Agreements (MSAs)
- Sales Agreements
- Non-Disclosure Agreements (NDAs)
- Vendor and supplier agreements
- Identify opportunities to streamline contracting processes and improve efficiency.
- Support dispute resolution efforts and contract interpretation issues when they arise.
Professional Requirements:
Education: Bachelor of Law degree and active member of US Bar.
Experience: 3-6 years of relevant experience in a similar position or in private practice with similar mandates.
Knowledge and Skills:
- Strong knowledge of contract law and commercial transactions.
- Exceptional contract drafting and negotiation skills.
- Ability to balance business objectives with legal and regulatory requirements.
- Strong organizational skills with the ability to manage multiple priorities in a fast-paced environment.
