M&A Counsel

This is a high-impact opportunity for an experienced legal professional to play a strategic role in corporate growth and transactional execution within a fast-paced, technology-driven environment. In this role, you will lead and support complex domestic and international M&A transactions while partnering closely with executive leadership and cross-functional teams across finance, tax, people operations, and corporate development. You will provide practical, business-oriented legal guidance throughout the entire deal lifecycle, from structuring and due diligence to closing and post-transaction integration. The position offers the chance to contribute to innovative legal operations by leveraging AI and modern legal technologies to improve efficiency and decision-making. Working within a collaborative global legal team, you will help shape scalable processes while navigating complex legal and regulatory considerations. This role is ideal for someone who combines strong transactional expertise with strategic thinking and a forward-looking approach to legal technology.

Accountabilities:
  • Lead and manage a consistent pipeline of domestic and international mergers, acquisitions, divestitures, and strategic corporate transactions.
  • Provide practical, risk-adjusted legal advice throughout all stages of the transaction lifecycle, including structuring, negotiation, closing, and integration activities.
  • Draft, review, and negotiate stock purchase agreements, asset purchase agreements, and related transaction documentation.
  • Conduct and oversee legal due diligence efforts, summarize findings, and provide actionable risk assessments and mitigation strategies.
  • Collaborate with cross-functional stakeholders including finance, tax, employment, privacy, intellectual property, product, and security teams to evaluate transaction-related risks.
  • Coordinate and manage external counsel across multiple jurisdictions while ensuring high-quality and cost-effective legal support.
  • Support post-acquisition integration planning and execution, including governance, operational agreements, contractual obligations, and employee-related matters.
  • Develop and improve scalable transaction processes, legal playbooks, and best practices to streamline M&A operations.
  • Monitor evolving legal, regulatory, and market trends related to corporate transactions and strategic growth initiatives.
  • Leverage AI-powered tools and legal technology solutions to improve diligence workflows, knowledge management, efficiency, and overall legal operations.
Requirements:
  • Juris Doctor (J.D.) degree and active bar membership in at least one U.S. jurisdiction.
  • 5+ years of experience practicing M&A law within a leading law firm and/or in-house legal environment.
  • Strong experience drafting, negotiating, structuring, and advising on mergers and acquisitions and related strategic transactions.
  • Proven ability to lead or support transactions from due diligence through closing and integration activities.
  • Experience managing outside counsel and coordinating legal support across multiple jurisdictions and stakeholders.
  • Strong business judgment with the ability to deliver practical and commercially focused legal guidance in fast-moving environments.
  • Familiarity with legal technology platforms and AI-enabled tools to improve workflow efficiency and client experience.
  • Excellent communication, negotiation, stakeholder management, and organizational skills.
  • Ability to collaborate effectively across legal, finance, operational, and executive leadership teams.
  • Strong attention to detail with the ability to manage multiple complex projects simultaneously in a remote work environment.
  • Interest in innovation, continuous improvement, and the evolving role of AI in legal operations and corporate transactions.
