You will lead financial due diligence efforts, uncover critical insights, and help shape investment decisions from initial review through transaction completion.
The position combines financial analysis, transaction execution, and strategic thinking while working closely with investment, legal, tax, operational, and technology teams.
You will analyze complex business information, build financial models, and identify risks and opportunities that influence acquisition outcomes.

Accountabilities:

The M&A Diligence Senior Associate will lead financial due diligence activities for potential acquisitions, providing analytical insights and supporting investment decisions throughout the transaction lifecycle. This role requires strong financial expertise, attention to detail, and the ability to communicate findings effectively across teams.

  • Lead financial due diligence reviews for potential acquisitions, analyzing financial statements, historical performance, accounting processes, and business fundamentals.
  • Build and maintain financial analyses and pro forma models, including income statements, balance sheets, cash flow projections, and sensitivity analyses.
  • Develop financial and operational insights by evaluating company performance, strategic alignment, and investment opportunities.
  • Perform quality-of-revenue, quality-of-earnings, and working capital analyses to support transaction evaluations.
  • Collaborate with legal, tax, operational, and investment teams to gather information and complete comprehensive diligence reviews.
  • Prepare detailed reports, financial workbooks, and presentations highlighting key findings, risks, and opportunities.
  • Present diligence conclusions clearly to investment stakeholders and provide recommendations throughout the acquisition process.
  • Support preparation of indications of interest, letters of intent, and provide financial input into purchase agreements.
  • Review deliverables from colleagues and ensure accuracy, consistency, and high-quality standards.
  • Partner with technology teams to translate diligence insights into process improvements, automation opportunities, and enhanced analytical capabilities.
  • Take ownership of assigned workstreams while managing multiple projects in a fast-paced transaction environment.
Requirements:

The ideal candidate is a finance professional with transaction advisory experience, strong analytical capabilities, and a passion for evaluating businesses and investment opportunities. They should be comfortable operating independently while collaborating with cross-functional teams.

  • 3+ years of experience in accounting and transaction-related roles, including accounting advisory, private equity, or transaction advisory environments.
  • Experience performing financial due diligence with exposure to financial reporting and tax accounting considerations.
  • CPA, CA, or CFA certification preferred.
  • Experience working at a leading or Big Four accounting firm strongly preferred.
  • Demonstrated ability to evaluate small and medium-sized businesses and interpret financial performance.
  • Strong financial modeling skills with proficiency in Microsoft Excel and presentation tools.
  • Excellent analytical, organizational, and problem-solving skills.
  • Strong written, verbal, and interpersonal communication abilities.
  • Ability to manage multiple priorities, meet deadlines, and maintain high attention to detail.
  • Self-starter mindset with the ability to take initiative and operate effectively in both collaborative and independent environments.
