Head of Corporate Development

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Head of Corporate Development based in Canada.

This is a senior leadership opportunity to own and accelerate a high-impact M&A strategy within a global consumer and prosumer software business.
You will lead the full acquisition lifecycle, from identifying attractive targets and developing investment theses to negotiating transactions and driving them through close.
Working directly with executive leadership and investment partners, you will have significant influence over portfolio strategy and long-term growth.
The role combines sophisticated financial analysis with commercial judgment, relationship building, and hands-on transaction execution.
You’ll operate across the US, Canada, and Europe, developing relationships with founders, bankers, advisors, and technology businesses.
The environment is lean, entrepreneurial, and fast-moving, with multiple opportunities and transactions progressing simultaneously.
This position is well suited to an accomplished M&A professional who can operate with executive presence while remaining highly hands-on.

Accountabilities:
  • Build and own the M&A pipeline, identifying consumer, prosumer, and desktop software opportunities across the US, Canada, and Europe through banker relationships, direct outreach, and thematic research.
  • Lead acquisition processes end-to-end, including target evaluation, valuation, financial modeling, IOI/LOI development, transaction structuring, negotiation, signing, and closing.
  • Develop investment theses, market maps, valuation analyses, deal memos, and board-ready materials in partnership with executive leadership and investment stakeholders.
  • Direct cross-functional due diligence across finance, legal, tax, product, and technology, coordinating internal teams and external advisors to maintain momentum and rigor.
  • Build and maintain a strong network of technology bankers, founders, investors, and advisors to ensure early access to attractive opportunities.
  • Assess strategic fit, commercial potential, valuation, and operational considerations to determine how potential acquisitions support broader portfolio objectives.
  • Manage multiple concurrent workstreams spanning pipeline development, active diligence, negotiations, and transaction execution.
  • Partner with integration leaders following acquisitions to help ensure transactions deliver against their original strategic and financial theses.
  • Communicate clearly with senior executives, boards, sponsors, and external stakeholders throughout the deal lifecycle.
  • Contribute to a culture centered on accountability, customer impact, constructive debate, speed, pragmatism, and disciplined execution.
Requirements:
  • 8+ years of experience across investment banking, private equity, venture/growth investing, corporate development, or a combination of these fields.
  • Significant direct M&A execution experience, with a demonstrated ability to lead transactions from sourcing through closing.
  • Strong financial modeling expertise, including the ability to build and defend LBO models, merger models, comparable company analyses, and other transaction models from scratch.
  • Relevant experience with consumer software, prosumer technology, desktop software, or related technology businesses is highly valued.
  • Strong commercial and strategic judgment, with the ability to quickly assess a company’s value, competitive position, growth potential, and strategic fit.
  • Demonstrated understanding of acquisition strategies and, ideally, software roll-ups or buy-and-build models.
  • Strong executive presence and communication skills, with the ability to influence and present effectively at the C-suite, board, and investment-partner levels.
  • Proven ability to manage several high-priority workstreams simultaneously in a lean and fast-paced environment.
  • Strong relationship-building skills and the ability to develop trusted networks with founders, investment bankers, and advisors.
  • Experience working within a private-equity-backed or sponsor-owned organization is an asset.
  • An established technology deal network across the US and Canadian markets is a plus.
