General Counsel in at Virsono Hearing Centers

The General Counsel (GC) will serve as the Company’s chief legal, compliance, and governance officer. This role partners closely with the CEO, Board, and executive team on legal strategy and risk management, and builds and maintains the compliance infrastructure required of a regulated medical technology company. The scope is comparable to that of a Chief Legal Officer in the life sciences/medtech industry, spanning governance, litigation, regulatory, IP, and compliance.

Key Responsibilities

Corporate Governance & Securities

• Lead corporate governance, regulatory reporting, and Board/committee management; serve as Corporate Secretary.
• Partner with the CFO and outside counsel on financing transactions and securities compliance.
• Advise the CEO and Board on governance, fiduciary duties, and corporate compliance obligations.

Legal & Risk Management

• Direct global litigation strategy, including product liability, employment, intellectual property, and shareholder matters.
• Own enterprise compliance programs, including export controls (BIS/OFAC), anti-corruption, and internal investigations.
• Lead privacy and data protection compliance across all applicable jurisdictions.
• Manage the Company’s insurance programs (D&O, EPLI, product/clinical liability, and other corporate coverage).

Regulatory & Intellectual Property

• Oversee regulatory strategy and engagement with applicable government agencies (e.g., FDA) in partnership with Regulatory Affairs.
• Direct intellectual property strategy, portfolio development, and enforcement.
• Provide legal oversight of quality systems in coordination with Quality and Regulatory leadership.

Commercial & Transactional

• Lead contract strategy and enterprise contracting (clinical, supply, and commercial agreements).
• Oversee M&A evaluation, licensing, and business development transactions, including due diligence.
• Structure and negotiate financing, royalty, and strategic partnership agreements as needed.

Organizational Leadership

• Build and lead the legal and compliance function, including outside counsel management and budget.
• Partner with the VP of People & Operations on employment-related legal matters, workforce policy, and significant workforce actions, ensuring consistency and legal defensibility across the organization.
• Chair or support Board-level compliance and risk committees as applicable

Qualifications

• J.D. and active bar membership in good standing (California bar admission or registration as in-house counsel required or obtainable).
• 15+ years of progressive legal experience, including prior General Counsel/Chief Legal Officer experience at a life sciences, medtech, or technology company.
• Experience with securities law, corporate governance, and capital markets transactions strongly preferred.
• Demonstrated experience building enterprise compliance, privacy, and litigation management programs.
• Experience with intellectual property strategy and portfolio management; patent prosecution background a plus.
• Prior experience advising Boards and executive teams on governance, risk, and strategy.
• Scientific or technical background (e.g., an advanced degree in a life sciences field) a plus in regulated medtech environments
