This is a high-impact executive leadership opportunity for an experienced legal professional to oversee corporate governance, securities compliance, and strategic transactions within a dynamic and fast-evolving business environment. In this role, you will serve as a trusted advisor to senior leadership and play a critical role in shaping legal strategy across complex corporate initiatives, including mergers, acquisitions, and regulatory matters. You will collaborate closely with executive teams, finance, HR, compliance, and operational leaders to ensure strong governance practices and regulatory integrity across the organization. The position offers the opportunity to influence key business decisions, guide high-stakes transactions, and lead a high-performing legal function focused on operational excellence and risk management. This role is ideal for a strategic thinker with strong business acumen, exceptional judgment, and a collaborative leadership style.
- Lead all aspects of corporate governance, including Board and committee support, governance policies, corporate records, and compliance with applicable corporate laws and listing standards.
- Advise executive leadership and Board members on fiduciary duties, governance trends, and evolving regulatory requirements.
- Oversee securities law compliance, SEC reporting obligations, disclosure practices, and insider trading policies to ensure regulatory adherence and transparency.
- Partner closely with Finance and leadership teams on investor communications, public disclosures, and corporate reporting processes.
- Direct legal strategy and execution for mergers, acquisitions, divestitures, joint ventures, and strategic investments, including due diligence, deal structuring, negotiations, and transaction documentation.
- Coordinate cross-functional teams and external legal counsel to support efficient transaction execution and post-merger integration efforts.
- Build and mentor a high-performing legal team while promoting a culture of accountability, collaboration, and operational excellence.
- Manage outside counsel relationships, legal budgets, and complex legal projects involving multiple stakeholders and business priorities.
- Juris Doctor (J.D.) degree from an accredited law school and active bar membership in good standing.
- 12+ years of legal experience, ideally combining both law firm and in-house corporate legal expertise.
- Deep knowledge of corporate governance, securities law, SEC reporting, and mergers and acquisitions.
- Strong experience advising publicly traded companies on governance and regulatory compliance matters.
- Proven ability to lead complex transactions and provide strategic legal counsel to senior executives and Boards of Directors.
- Expertise in due diligence, negotiation, transaction structuring, and drafting sophisticated legal documentation.
- Strong business judgment with the ability to translate legal complexity into practical, business-focused guidance.
- Excellent communication, leadership, and stakeholder management skills, including executive-level presentation and drafting abilities.
- Experience in technology, high-growth industries, or global cross-border transactions is highly valued.
- Ability to manage competing priorities, external counsel relationships, and legal operations efficiently within a fast-paced environment.
