Job Description

We’re seeking an experienced, thoughtful and innovative attorney to join our Bedminster, NJ corporate headquarters team. As an in-house counsel, you’ll be a hands-on legal architect, providing expert legal advice and strategic guidance on a broad range of matters, including commercial agreements, government contracts, regulatory matters, corporate governance, employment, and legislative affairs. This will be accomplished while building the guardrails that let the business move fast with confidence.

Responsibilities
- Help shape the company’s portfolio of advisory and transaction services to align with market opportunities.
- Advise on project finance, capital structures and operating frameworks that would accelerate delivery of technology and infrastructure development projects and scale outcomes.
- Advise on federal rules governing public/private co-investment in real estate, construction, and utility transactions.
- Structure, draft, negotiate, and execute contracts and agreements critical to the company’s operations.
- Conduct due diligence and advise on strategic partnership, joint-venture, and M&A opportunities.
- Maintain cognizance of federal laws, regulations, policy, and industry trends impacting the company's operations.
- Identify legal and regulatory risks facing the company and develop mitigation strategies that support commercial objectives.
- Draft corporate documents, including annual reports, disclosures, and other regulatory filings.
- Advise the leadership team on operations, corporate governance, and employment matters.
- J.D. with strong academic record; admitted to practice in NJ (or eligible in-house).
- Minimum of 15 years of progressive legal experience, including at least 5 years in senior leadership roles within growth-stage organizations.
- Proven success drafting and negotiating a range of commercial and Federal Government contracts or agreements for technology development or construction projects.
- Experience advising on legislation, regulatory matters, corporate affairs and compliance.
- Exceptional communication skills and collaboration skills.
- Knowledge of Public/Private Partnerships, Enhanced Use Leases, Power Purchase Agreements, or Energy Savings Performance Contracts would be a definite plus.
- An active Top Secret Security Clearance, or the ability to obtain a Top Secret Security Clearance, is required.
