Corporate Attorney
Position Summary
We are seeking a Corporate Attorney with 3–5 years of experience in general corporate law to provide legal counsel and business support across a diverse portfolio of business operations, renewable energy, real estate, and strategic initiatives. This individual will serve as a trusted advisor to executive leadership, helping manage legal risk while supporting the company's continued growth.
The ideal candidate is a business-minded attorney with strong experience drafting and negotiating commercial agreements, advising internal stakeholders on legal matters, and supporting a wide range of corporate and operational initiatives. Experience in renewable energy, real estate, or construction is a plus, but not required.
Responsibilities
Corporate & Commercial Matters
- Draft, review, negotiate, and administer a broad range of commercial agreements, including:
- Master Service Agreements (MSAs)
- Vendor and supplier agreements
- Professional services agreements
- Purchase and procurement agreements
- Non-disclosure and confidentiality agreements (NDAs)
- Consulting and licensing agreements
- Provide practical legal guidance to business leaders on contract interpretation, risk allocation, and commercial matters.
- Partner with internal departments to support day-to-day business operations and strategic initiatives.
Corporate Governance & Business Support
- Assist with corporate governance matters, entity management, and regulatory compliance.
- Support mergers, acquisitions, joint ventures, and other corporate transactions as needed.
- Review and develop company policies, procedures, and governance documents.
- Assist with board resolutions, corporate records, and organizational documentation.
Risk Management & Compliance
- Identify legal and business risks and recommend practical, business-focused solutions.
- Assist in managing litigation, claims, and disputes in coordination with outside counsel.
- Monitor legal and regulatory developments affecting company operations.
- Help maintain internal compliance programs and corporate policies.
Qualifications
Required
- Juris Doctor (JD) from an accredited law school.
- Active license and good standing with at least one U.S. state bar.
- 3–5+ years of experience practicing general corporate law in a law firm or in-house legal department.
- Experience drafting, reviewing, and negotiating a variety of commercial agreements.
- Strong knowledge of corporate governance, contract law, and general business transactions.
- Excellent written, verbal, analytical, and negotiation skills.
- Ability to manage multiple priorities in a fast-paced environment.
- Strong business judgment with a practical, solutions-oriented approach.
Preferred
- In-house corporate legal experience.
- Experience supporting businesses in renewable energy, infrastructure, manufacturing, or other commercial industries.
- Familiarity with real estate transactions and leasing.
- Experience with corporate compliance, risk management, and business operations.
