Associate General Counsel, Corporate

Position Overview
We are seeking an Associate General Counsel to join a fast-growing solar asset management company. This role will represent the company in negotiating and drafting complex transactions, including asset management agreements, commercial contracts, and M&A transactions, while also building the corporate legal infrastructure to support a scaling business. This role will report to the General Counsel and work closely with senior leadership.
The ideal candidate combines renewable energy transactional experience with a demonstrated ability to design and operationalize a commercial legal function from the ground up, including the development of scalable frameworks that support efficient execution and business growth. The candidate should also be comfortable leveraging emerging technologies, including AI, to improve processes, and drive efficiency to support a high-performing legal function.
Key Responsibilities Asset Management & Commercial Contracts
- Lead negotiation of commercial agreements, including Master Services Agreements, O&M Agreements, and other project related documentation, Non-Disclosure Agreements, SAAS contracts, licensing agreements, SREC Purchase and Sale Agreements, and vendor contracts.
Contracting Infrastructure
- Build and standardize templates (AMA, MSAs, NDAs, etc.)
- Create fallback positions and playbooks
- Implement approval workflows
Deal Process Design
- Define how deals move internally through terms sheet to close
- Build internal checklists (diligence, approvals, risk flags)
- Reduce outside counsel dependency over time
Cross-Functional Integration
- Embed with business operational + finance teams
- Translate legal into operational processes
Corporate Governance & Strategy
- Advise the General Counsel, the executive team, and the Board on corporate governance matters and fiduciary duties.
- Support the Company and its Affiliates in connection with internal corporate matters, including preparing resolutions and Board presentations and maintaining corporate records. - Manage entity and subsidiary governance. Mergers, Acquisitions & Strategic Transactions
- Support M&A, joint ventures, and investments including due diligence and integration.
- Advise on deal structuring and risk allocation Experience
- Significant exposure to renewable energy/solar project finance, asset management, or infrastructure deals
- Law Firm and In-House Legal experience
- U.S. Federal and State Regulatory Compliance (FERC and NERC regulatory experience is helpful)
Qualifications
- Juris Doctor from accredited law school
- Active bar membership
- 7–12+ years of experience (law firm + in-house strongly preferred) Skills & Attributes

- Demonstrated ability to integrate legal advice and practical business requirements
