This role serves as a central driver of legal operations, strategic initiatives, and complex transactional projects within a fast-paced legal environment. You will coordinate high-impact matters such as M&A transactions, financings, due diligence processes, and contract management activities. The position combines project management, legal document organization, stakeholder coordination, and operational process improvement. You will work closely with attorneys and teams across Finance, HR, IT, Programming, and other business functions to keep critical initiatives moving efficiently. As a key resource for document and contract management, you will help ensure information is organized, accessible, accurate, and audit-ready. This is an opportunity for an experienced legal operations professional to bring structure, judgment, and accountability to a broad portfolio of strategic projects.

Accountabilities:
  • Lead legal operations initiatives and manage the execution of projects across the legal department.
  • Manage project coordination for complex transactions, including M&A and financing activities, from preparation through closing and post-closing follow-up.
  • Organize complex contracts and transaction materials within virtual data rooms for internal and external stakeholders.
  • Coordinate cross-functional due diligence workstreams and manage responses to counterparty diligence requests.
  • Build and maintain project trackers, management tools, diligence request lists, closing condition checklists, and pre- and post-closing action items.
  • Track corporate approvals, including board resolutions and shareholder consents, and coordinate required legal documentation.
  • Oversee document execution, escrow mechanics, third-party consents, closing exchanges, and compilation of closing binders.
  • Serve as the primary project manager for strategic initiatives requested by attorneys and internal business partners, ensuring responsibilities, deadlines, and deliverables remain clearly defined.
  • Act as a subject matter expert on document and storage management, using knowledge of contracts and key terms to organize, classify, retrieve, and audit legal documents.
  • Manage contract-related resources and collaboration tools, including iManage, DocMinder, physical files, and associated licenses.
  • Draft agreements and notices using approved templates, as well as disclosure schedules for M&A transactions, under attorney supervision.
  • Analyze and synthesize information from multiple stakeholders and functions to support effective project execution and legal decision-making.
  • Take on additional responsibilities and strategic initiatives as assigned.

Requirements:

  • 5+ years of experience working directly with broadcast media and/or entertainment contracts, including talent agreements, vendor agreements, and transactional agreements such as purchase agreements.
  • Strong understanding of standard deal mechanics, contractual terminology, and the operational requirements of complex transactions.
  • Demonstrated experience managing complex projects and transactions, including contract databases and virtual data rooms used for transactions or audits.
  • Proven ability to gather, critically evaluate, analyze, and synthesize information from cross-functional teams such as Finance, HR, IT, and Programming.
  • Bachelor’s degree from an accredited college or university, or an equivalent combination of education and relevant professional experience.
  • Proficiency with Google, Microsoft, and Adobe productivity suites, including the ability to build and maintain project trackers.
  • Strong organizational and prioritization skills, with the ability to manage multiple projects simultaneously in a fast-paced, high-volume environment.
  • Ability to work independently with limited supervision while maintaining strong attention to detail and consistent follow-through.
  • Excellent written and verbal communication, analytical thinking, judgment, and problem-solving skills.
  • Strong collaboration and interpersonal skills, with the ability to work effectively with attorneys, business stakeholders, and external parties.
  • High degree of discretion, professionalism, sound judgment, and accountability when handling sensitive legal and business information.
  • Prior personnel management experience is preferred.

Benefits:

  • Full-time position based in Philadelphia, Pennsylvania.
  • Hybrid work arrangement.
  • Opportunity to lead high-visibility legal operations and strategic projects.
  • Exposure to complex M&A transactions, financings, due diligence, contract management, and legal department initiatives.
  • Cross-functional collaboration with Finance, HR, IT, Programming, attorneys, and other internal and external stakeholders.
  • Opportunity to develop and manage legal operations processes, document systems, and contract management resources.
  • Collaborative and fast-paced professional environment.
  • Equal employment opportunities and reasonable accommodations for qualified applicants with disabilities, in accordance with applicable law.
  • Confidential and professional handling of candidate information throughout the hiring process.
