Corporate Counsel

This role sits at the intersection of law, technology, and commercial strategy within a fast-moving SaaS environment. The Corporate Counsel will provide practical, business-oriented legal guidance across a wide range of strategic initiatives, with a strong focus on commercial contracting, data privacy, and emerging technologies such as AI. The position plays a key role in enabling revenue growth by supporting enterprise sales and negotiating complex global agreements. It requires close collaboration with cross-functional teams including product, engineering, marketing, and professional services. The environment is dynamic and highly collaborative, demanding both precision and adaptability. This is an opportunity to directly influence product innovation and business expansion while managing legal risk in a thoughtful, scalable way.

Accountabilities:

The Corporate Counsel will act as a strategic legal advisor and deal enabler, ensuring the organization can move quickly while maintaining compliance and risk balance.

  • Negotiate and draft complex SaaS, software licensing, professional services, and global enterprise agreements with customers, partners, resellers, and vendors.
  • Provide day-to-day legal guidance to sales, product, engineering, and operational teams on commercial, regulatory, privacy, and data security matters.
  • Support the development, review, and improvement of contract templates, internal policies, and legal frameworks to enable scalable business growth.
  • Advise on legal implications of new product initiatives, including AI-driven tools, data usage, and emerging technology capabilities.
  • Collaborate on risk management activities, incident response (including security and privacy matters), and dispute or litigation support when needed.
  • Participate in cross-functional strategic initiatives and contribute to organizational decision-making through pragmatic legal insight.
  • Promote the adoption of AI and legal tech tools to improve efficiency and modernize legal operations.
  • Mentor junior legal team members and contribute to knowledge sharing across the function.
Requirements:

The ideal candidate is a commercially minded legal professional with strong SaaS experience and the ability to operate in a fast-paced, evolving technology environment.

  • Juris Doctor (JD) and active membership in good standing with a U.S. state bar (with eligibility or willingness to obtain additional licensure if required).
  • 5+ years (6+ preferred) of experience in commercial contracting, SaaS, software licensing, or technology transactions.
  • Strong background in negotiating complex enterprise agreements in a global or high-growth environment.
  • Solid understanding of data privacy, cybersecurity, and regulatory frameworks impacting technology businesses.
  • Ability to balance legal risk with business objectives in a pragmatic, solutions-oriented manner.
  • Excellent communication skills, with the ability to influence stakeholders at all levels, including executives.
  • Proven ability to work independently while collaborating effectively across cross-functional teams.
  • Experience mentoring peers and contributing to a high-performing legal team culture.
  • Comfort working with AI tools and modern productivity technologies.
  • Strong analytical, problem-solving, and organizational skills in a fast-paced environment.
Benefits:
  • Competitive annual base salary range: $160,000 – $180,000, with on-target earnings (OTE) up to $180,000 – $200,000 including bonus.
