This is a remote position however candidates must be in AZ. Phoenix or Tucson areas highly preferred but will consider other areas in AZ.
OBJECTIVE AND POSITION SUMMARY
The Paralegal-Transactions is responsible for assisting the Legal Department in all phases of legal transactions, including contracts, grant agreements, financial transactions, real estate transactions, mergers and acquisitions, litigation support, and more. The Paralegal-Transactions is a cross-functional position and will maintain general responsibilities in contract management, mergers, acquisitions, and transactions, litigation, maintenance of the Legal Department systems, and support to the Legal Department attorneys and staff in all areas as needs arise. Paralegal Transactions will ensure an exceptional level of client service is provided at all times and will work with minimum supervision in performing the day-to-day work responsibilities. The Paralegal-Transactions will partner with their peers in providing legal services to our internal clients – the employees at Chicanos Por La Causa who empower lives through five pillars of service: Integrated Health & Human Service, Education & Social Services, Economic Development, Housing and Advocacy. Paralegal Transactions is responsible for assisting to ensure that the services CPLC provides follow all federal, state, local laws and regulations, certifications, licensing and funding requirements.

This position requires regular communication orally and in writing with internal and external legal staff in face-to-face and video one-on-one settings, group settings, by telephone and by e-mail or regular correspondence.

Candidate should have (or will be required to obtain) an active Arizona Notary Public Commission.
PRIMARY DUTIES AND ESSENTIAL FUNCTIONS

This position requires skill in MS Office suite software applications and legal research systems (i.e. Westlaw) and operating systems (i.e. Legal Tracker).

Calendar, schedule, and monitor transactional matters and deadlines.

Assist with all stages of mergers, acquisitions, and transactions, including due diligence, managing closing checklists, drafting and reviewing legal documents, collection and review of documents from external departments, and providing support to internal parties and outside counsel as needed.

Draft, review, analyze, and execute a wide range of contracts and agreements.

Perform and collect due diligence information as needed for evaluating third parties to ensure compliance with relevant policies, procedures, and regulations.

Maintain Legal Department files, including litigation files, affiliate and subsidiary files, and contract files, in an efficient, accurate, and organized manner.

Assist with maintaining Legal Department systems, including Legal Tracker and HighQ.

Review, process, and respond to subpoenas and requests for information received from law enforcement, governmental agencies, law firms, and other external parties.

Ensure compliance with CPLC policies, state and federal laws, and applicable regulations.

Provide support to CPLC departments and programs, including coordinating meetings, responding to requests from internal and external individuals, and assisting with various projects.

Conduct legal research, analysis, and draft legal memorandums.

Provide input, assistance, and support for any special projects as assigned.

Support Legal Department attorneys and staff in all areas as needs arise, including but not limited to, litigation, contracts, mergers and acquisitions, transactions, and entity management.

Exercise discretion and independent judgment in appropriate situations.

Maintain confidentiality in all areas of the service population, operations, and administration.

Work evenings, weekends and holidays as needed or requested by position supervisor.

Other duties as assigned to meet programmatic, departmental and agency needs.
MINIMUM QUALIFICATIONS AND COMPETENCIES
Education/Background:
-
Three to five (3-5) years of experience as a paralegal working in a legal environment with two to four (2-4) years of experience as paralegal working on contracts, real estate transactions, and/or mergers and acquisitions. Alternative combinations of education and experience may be considered to meet the qualifications of this role.

Associate’s degree and/or paralegal certificate required.

Experience managing a high volume of work and complex legal matters.

Excellent oral and written communication.
