This role offers an opportunity to join an in-house legal team supporting complex commercial and contract matters within a growing, operationally focused organization. The Staff Attorney will provide practical legal guidance across wholesale fuel distribution and fleet fueling operations. You will manage contract terminations and buyout requests, draft and review transaction documents, and help strengthen standard agreements and legal processes. The position provides meaningful exposure to cross-functional teams including Operations, Fuel, Logistics, Real Estate, Credit, and Risk Management. Success requires strong judgment, attention to detail, organization, and the ability to work independently while partnering effectively with business stakeholders. It is well suited to an attorney seeking greater autonomy and broad commercial experience in an in-house environment.
Accountabilities- Process buyout requests and terminations of wholesale customer agreements, ensuring matters are handled accurately, efficiently, and in accordance with applicable contractual requirements.
- Draft and review correspondence, amendments, consents, notices, ancillary transaction documents, and other commercial contract materials.
- Maintain and regularly update contracts and legal matter trackers, providing clear status reports and visibility to the Deputy General Counsel and senior leadership.
- Review, update, and improve standard form agreements, including supply, consignment, and lease templates, based on business needs, negotiation trends, and lessons learned from previous transactions.
- Identify opportunities to streamline contract intake, drafting workflows, turnaround times, and legal support processes.
- Partner closely with non-legal stakeholders across Operations, Fuel, Logistics, Real Estate, Credit, Risk Management, and other business functions to understand needs and provide practical legal support.
- Manage a high volume of concurrent matters while maintaining accuracy, responsiveness, and appropriate prioritization.
- Contribute to continuous improvements in legal processes, documentation, and operational efficiency.
- Perform other related legal and business duties consistent with the scope of the position.
- Juris Doctorate (J.D.) from an accredited law school.
- Active bar membership in good standing in at least one U.S. state; admission in Virginia or Texas is preferred.
- 2–5 years of transactional or corporate legal experience, either in-house or at a law firm.
- Demonstrated experience drafting and negotiating commercial contracts; experience with supply, distribution, leasing, or M&A transactions is preferred.
- Familiarity with commercial contract law, including UCC Article 2 and Article 9 principles and standard secured transaction and M&A documentation.
- Strong analytical and logical reasoning skills, with exceptional attention to detail.
- Excellent written and verbal communication skills, with the ability to communicate clearly, concisely, and confidently with stakeholders at all organizational levels.
- Strong organizational and time-management skills, with the ability to manage numerous matters simultaneously and meet demanding deadlines.
- Self-motivated and capable of prioritizing effectively under tight time constraints.
- Ability to work independently while also contributing effectively within a collaborative legal team.
- Comfortable working cross-functionally with non-legal professionals and translating legal considerations into practical business guidance.
- Sound professional judgment and a proactive approach to identifying issues and improving processes.
- Remote-eligible position with a hybrid work option available for candidates located near the Richmond, Virginia or Dallas, Texas offices.
