Associate General Counsel, Corporate

This position is posted by Jobgether on behalf of a partner company. We are currently looking for an Associate General Counsel, Corporate in the United States.

This role is a high-impact legal leadership position within a fast-scaling fintech environment, responsible for owning and shaping the corporate legal function across a rapidly evolving financial technology platform. You will operate as a strategic partner to leadership, supporting everything from commercial contracting and corporate governance to financing rounds and M&A activity. The position sits at the center of a high-growth organization where legal is embedded directly into business strategy rather than acting in a reactive capacity. You will help build scalable legal infrastructure, streamline contracting processes, and ensure strong governance across entities and transactions. This is a highly hands-on role requiring both strategic judgment and operational execution in a fast-moving, ambiguous environment. It is ideal for a builder-minded legal professional who thrives in innovation-driven, high-ownership cultures.

Accountabilities:

In this role, you will own the corporate legal function end-to-end, supporting critical business operations, transactions, and governance while building scalable legal systems that enable rapid company growth.

  • Negotiate and draft a wide range of commercial agreements including NDAs, MSAs, SaaS contracts, vendor agreements, and strategic partnerships
  • Lead corporate governance activities including board and stockholder resolutions, cap table management, equity administration, and entity maintenance
  • Support financing activities including equity rounds, debt facilities, and strategic investments from term sheet through closing
  • Play a key role in M&A transactions, including due diligence, negotiation, structuring, and execution support
  • Manage and coordinate outside counsel relationships, ensuring quality, efficiency, and cost control
  • Build and optimize contract management processes and legal workflows to improve scalability and operational efficiency
  • Oversee legal support across HR, Finance, and Operations functions, ensuring alignment with business needs
  • Develop and strengthen the company’s intellectual property and asset protection strategy
  • Contribute to the development of internal AI-enabled legal tools and automation solutions
  • Provide clear, business-oriented legal guidance to cross-functional teams and leadership
Requirements:

This role requires strong corporate legal expertise with hands-on experience in high-growth environments, particularly within fintech or technology-driven companies, along with the ability to operate independently in complex transactional settings.

  • 4+ years of corporate legal experience, ideally in-house at a high-growth startup or leading law firm
  • Strong experience in financing transactions, debt facilities, and/or M&A deals
  • Proven ability to negotiate and manage complex commercial agreements
  • Experience managing outside counsel and legal vendors effectively
  • Background in building legal processes, infrastructure, or scalable legal systems
  • Strong understanding of corporate governance, equity structures, and entity management
  • Ability to translate complex legal issues into clear, actionable business guidance
  • Strong business acumen and ability to collaborate closely with product, finance, and operations teams
  • Comfortable working in fast-paced, ambiguous, and high-growth environments
  • Interest in fintech, financial services, and technology-driven innovation
