Corporate Paralegal
Overview:
Pillar Income Asset Management, Inc. is seeking a highly organized and detail-oriented Corporate Paralegal to join our legal team at a publicly held real estate operating and development company. This role provides in-house paralegal support to the General Counsel and legal department, focusing on corporate governance, entity management, real estate transactions, and compliance. The ideal candidate has experience in corporate and real estate matters, thrives in a fast-paced environment, and demonstrates exceptional organizational and communication skills.
Key Responsibilities:
Corporate Governance & Entity Management
- Assist with formation, maintenance, qualification, and dissolution of corporate entities (LLCs, LPs, and other structures).
- Prepare and file entity documents, including amendments, withdrawals, name reservations, and assumed name certificates with domestic and foreign jurisdictions.
- Draft and maintain corporate records, including bylaws, minutes, resolutions, consents, certificates, and organizational charts.
- Obtain EINs, good standing certificates, and certified copies of filings.
- Maintain minute books, closing binders, and entity management systems.
- Coordinate execution of legal documents using e-signature software.
Real Estate Transactions
- Support acquisitions and dispositions of multifamily and commercial properties.
- Assemble due diligence materials and organize data room documents.
- Prepare and track closing checklists and signature packages.
- Coordinate document execution and filing under supervision of legal counsel.
Contract & Document Management
- Draft and manage routine legal documents, including NDAs and simple amendments.
- Organize and maintain executed agreements and closing files in accordance with internal procedures.
Compliance & Filings
- Assist with annual and periodic state filings and registered agent matters.
- Track filing deadlines and maintain compliance calendars.
- Respond to internal requests for entity or corporate documentation.
General Legal & Administrative Support
- Provide day-to-day support to in-house counsel and legal department.
- Coordinate with internal teams such as acquisitions, asset management, and finance.
- Assist with special projects and process improvements as assigned.
Qualifications:
- Bachelor’s degree required; Paralegal Certificate from an ABA-approved program preferred.
- Minimum 2-5 years of experience as a corporate paralegal in a law firm or in-house legal department (real estate experience strongly preferred).
- Proficiency in Microsoft Word, Excel, Outlook, and electronic signature software.
- Experience with entity management systems (e.g., NRAI) is a plus.
