Senior Legal Counsel - Commercial

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Senior Legal Counsel - Commercial based in United States.

This is a senior, hands-on commercial legal role supporting a fast-growing technology business at the intersection of AI and cybersecurity.
You will own complex commercial legal matters and help teams structure agreements, close enterprise deals, and manage risk effectively.
The role partners closely with Sales, Finance, Product, Engineering, and Security to turn complex legal questions into practical business guidance.
You will advise on emerging AI-related issues, including data rights, intellectual property, model training, confidentiality, and liability.
You will also help shape contractual approaches for offensive security products, including testing permissions, vulnerability findings, and sensitive customer information.
Beyond negotiations, you will build scalable legal processes, playbooks, templates, and training that enable the business to move quickly.

Accountabilities:
  • Lead the drafting, review, and negotiation of enterprise customer agreements, SaaS and software licenses, proof-of-concept agreements, partnership and reseller arrangements, procurement contracts, and data processing agreements.
  • Partner with Sales and Finance on deal structures, negotiation strategies, escalations, and practical risk management approaches that support commercial growth.
  • Advise on AI-related commercial matters, including data usage, model-training restrictions, intellectual property ownership, confidentiality, warranties, liability, and third-party AI provider terms.
  • Support Product, Engineering, and Security teams in assessing legal considerations for new capabilities and translating those considerations into appropriate customer terms and commitments.
  • Advise on legal and contractual considerations specific to offensive security, including testing permissions, scope, acceptable use, vulnerability findings, and sensitive customer information.
  • Develop scalable legal infrastructure such as contract templates, negotiation playbooks, approval workflows, and practical guidance to improve efficiency and consistency.
  • Provide training and accessible legal guidance so colleagues understand when they can proceed independently and when Legal involvement is required.
  • Identify emerging legal issues, coordinate specialist external counsel when appropriate, and contribute to broader legal initiatives as the business evolves.
Requirements:
  • 7+ years of commercial legal experience, with substantial responsibility for drafting and negotiating complex technology agreements.
  • Prior in-house experience within a technology company, including direct support for commercial teams and collaboration with product and technical stakeholders.
  • Experience working in a startup environment, with the ability to prioritize effectively, operate with limited resources, and build processes as the organization scales.
  • Direct experience advising on AI products or services, including commercial terms, data rights, intellectual property, and risk allocation.
  • Qualified lawyer admitted to practice in a relevant jurisdiction.
  • Demonstrated ability to independently lead enterprise commercial negotiations from initial review through execution.
  • Strong commercial judgment, with the ability to clearly explain legal and business trade-offs and recommend practical paths forward.
  • Working knowledge of privacy, data protection, and information security considerations relevant to technology contracts.
  • Excellent communication, ownership, organization, and prioritization skills in a fast-moving environment.
  • Curiosity about technology and the ability to investigate and work through unfamiliar or emerging legal questions.
  • Experience in cybersecurity, offensive security, or developer tools is advantageous.
  • International enterprise transaction experience, experience building or improving commercial legal functions, and thoughtful use of AI tools to enhance legal workflows are also valued.
