A Senior Counsel operates as a subject matter expert with regard to legal matters that arise on a day-to-day basis related to commercial contracts.
Duties/Responsibilities
  • Work closely with internal sales team as well as vendors and customers to mitigate risk.

  • Draft, reviewing and negotiating a variety of contracts, including hardware, software, professional services, subcontractor, non-disclosure, and vendor agreements.

  • Lead contract negotiations with sophisticated counter-parties.

  • Propose and assist with developing tools to improve contractual processes and documentation.

  • Train and manage lawyers.

  • Manage outside counsel as assigned and as needed.

  • Manage and respond to disputes related to contracts with opposing parties.

  • Create and update templates and processes as necessary.

  • Assess and minimize sources of risk, with appropriate escalations as necessary.

  • Other job duties as assigned.

Education and Experience
  • Minimum Required – Juris Doctor, member of good standing of a state bar, at least 5 years of legal experience.

  • Preferred – Experience in one or more of these areas is preferred and should be highlighted in resume: commercial contract negotiation, government contracts, data security, litigation.

Knowledge, Skills, Abilities
  • Experience in a contracts group, as in-house counsel, or in corporate law.

  • Experience managing people.

  • Expertise in drafting and reviewing a broad range of commercial contracts, with a focus on technology contracts.

  • Ability to juggle high volume and multiple projects, which will require timely decisions.

  • Customer/client-focused orientation.

  • Strong analytical skills and verbal and written communication skills.

  • Excellent business judgment, attention to detail, and self-motivation.

  • Must be a member in good standing of a state Bar.

The compensation range indicated in this posting reflects the On-Target Earnings (“OTE”) for this role, which includes a base salary and any applicable target bonus amount. This OTE range may vary based on the candidate’s relevant experience, qualifications, and geographic location.
