TITLE: Deputy General Counsel - Corporate, Securities and M&A

FULL-TIME/PART-TIME: Full-Time


SCHEDULE: In Office - Mon -Thurs - 9 hours/Friday - 4 hours

POSITION SUMMARY: W&T Offshore is seeking a Deputy General Counsel to join its legal department in Houston. This attorney will serve as a key member of a four-person legal team and report directly to the EVP, General Counsel. The role provides expert counsel on securities law compliance, public company disclosure, corporate governance and mergers and acquisitions.

The ideal candidate will have expertise in SEC reporting and compliance (reviewing and assisting with the preparation and filing of annual (10-K), quarterly (10-Q), and current (8-K) SEC reports, Section 16 reports, and proxy statements) as well as capital markets and debt transactions, corporate governance (drafting, reviewing, and updating partnership agreements, LLC agreements, committee charters, insider trading policies, governance guidelines, and codes of conduct), executive and equity compensation (assisting and advising HR on equity plan administration, drafting grant agreements, and managing equity issuances upon vesting), and investor relations (managing all aspects of the annual stockholder meeting). Additional experience in oil and gas, mergers and acquisitions, joint ventures, and divestitures, is also preferred.


PRIMARY RESPONSIBILITIES:

  • Own preparation and review of SEC filings — 10-K, 10-Q, 8-K, proxy statements, and related disclosure documents.
  • Advise the Board of Directors and senior management on corporate governance matters.
  • Administer the company's insider trading policy; manage Section 16 filings and equity plan matters
  • Support M&A transactions, securities offerings, and debt financing, including due diligence and document drafting.
  • Prepare board materials, corporate records, and entity management documentation.
  • Collaborate cross-functionally to evaluate and resolve legal matters that arise with respect to strategic transactions and corporate governance and administration matters.
  • Review, draft and negotiate agreements related to W&T’s strategic transactions.
  • Review and prepare SEC filings and advise on securities law matters.
  • Assist in developing, refining and overseeing policies, processes, and organizational controls to ensure W&T’s compliance with applicable laws and regulations.
  • Assist with commercial oil and gas agreements, including transportation agreements, offtake agreements, oil purchase and sales agreements, processing agreements, drilling contracts, and master service agreements.
  • Manage and coordinate legal advice and support of W&T with respect to strategic initiatives and provide expertise and guidance to harmonize issues.
    • Consult and coordinate with other W&T attorneys, as well as external counsel, as appropriate to ensure the proper approach.


KNOWLEDGE, EDUCATION, & EXPERIENCE:

  • Bachelor’s degree is required.
  • Juris Doctorate is required.
  • 10+ years of legal experience with an emphasis on oil and gas transactions and SEC compliance, past legal experience within a public corporate environment is preferred (with experience in management of personnel/staff).
  • Licensed to practice in Texas; Licensed to practice in Louisiana would be beneficial .
  • Must possess excellent communication skills, verbal and written, in working with different personalities within a corporate environment.
  • Demonstrated ability to work with Management, Senior Executives, and Board Members on highly sensitive, timely matters within the company.
  • Excellent decision making and problem-solving skills.
  • Organized, detail-oriented and focused on results, yet comfortable with changing conditions.
  • Ability to effectively work with and manage outside counsel.
  • Ability to take control with little to no supervision.
  • Resolution-minded and goal-oriented.
  • Flexible in thought and action.
  • Impeccable ethics.

  • Manual dexterity sufficient to operate a computer keyboard and calculator.
  • May require occasional local, national and international travel
