Legal Counsel

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Legal Counsel based in the United States.

This is an opportunity to provide high-impact legal guidance within a rapidly evolving financial technology environment.
You will help shape innovative financial products while navigating complex U.S. regulatory and securities frameworks.
The role spans broker-dealer regulation, digital assets, payments, privacy, and broader financial services matters.
You will work closely with Product, Brokerage, Crypto, Compliance, AML, Sales, and Customer Success teams.
Your advice will directly support product launches, regulatory engagement, commercial activity, and risk management.
You will also contribute to agreements, policies, regulatory responses, and complex disputes as they arise.
The position is ideal for a pragmatic, commercially minded attorney who thrives in a fast-paced, highly collaborative setting.

Accountabilities
  • Provide practical, business-oriented legal advice on the design, development, and implementation of innovative financial products and services.
  • Lead legal reviews of product designs, marketing materials, customer onboarding processes, and related business initiatives to identify regulatory requirements and manage risk.
  • Advise internal teams on U.S. broker-dealer regulation, securities laws, digital assets, payments, data privacy, AML requirements, and other emerging financial services regulations.
  • Monitor developments from regulatory and self-regulatory bodies, including the SEC, FINRA, CFTC, FinCEN, OFAC, and other relevant authorities, and assess their potential impact on the business.
  • Support regulatory engagement and communications with government agencies and self-regulatory organizations.
  • Draft, review, and negotiate agreements, disclosures, policies, procedures, and other legal documentation.
  • Conduct legal research and analyze novel regulatory questions, translating complex requirements into clear, actionable recommendations for business stakeholders.
  • Manage litigation, arbitration, claims, discovery, and other disputes, including coordinating with external counsel and advising on strategy, risk, and resolution options.
  • Partner closely with Product, Brokerage, Crypto, Compliance, Anti-Money Laundering, Sales, and Customer Success teams to integrate legal considerations into business decisions.
  • Balance legal, regulatory, and commercial priorities while managing multiple initiatives and delivering high-quality advice under tight deadlines.
Requirements
  • J.D. degree or foreign equivalent, with active membership in at least one U.S. state bar.
  • 5–7+ years of legal experience, including at least 3 years focused on U.S. broker-dealer regulation and related securities laws.
  • Strong knowledge of the Securities Exchange Act of 1934, applicable regulations, FINRA rules, and relevant federal and state securities requirements.
  • Familiarity with U.S. cryptoasset regulatory frameworks and the roles of agencies and requirements involving the SEC, CFTC, NYDFS, FinCEN, and AML compliance.
  • Significant experience advising fintech companies or financial institutions, ideally within a startup, growth-stage, or similarly fast-scaling environment.
  • Demonstrated ability to provide strategic, commercially practical legal advice while operating under demanding timelines.
  • Excellent written and verbal communication skills, with the ability to explain complex legal concepts clearly to both legal and non-legal audiences.
  • Strong judgment, initiative, and self-motivation, with the ability to work independently while collaborating effectively across functions.
  • Ability to manage multiple priorities and projects in a dynamic environment with evolving requirements.
  • Comfort navigating ambiguity, solving novel legal problems, and adapting to rapidly changing regulatory and business conditions.
  • A collaborative, pragmatic mindset and genuine interest in emerging financial technologies and regulatory developments.
