We are seeking a talented and detail-oriented Legal Analyst to join our legal and compliance team. As a Legal Analyst, you will play a crucial role in ensuring legal compliance, managing regulatory issues, and supporting the company’s legal initiatives. You will be responsible for providing legal and compliance support to all corporate departments as directed by the Chief Compliance Officer / Chief Legal Officer and in coordination with other members of the Legal & Compliance department. The Legal Analyst will work on a variety of legal and compliance matters pertaining to day-to-day investment management activities, transaction matters, compliance matters, and related legal projects. This position offers a unique opportunity to contribute to the legal framework of a dynamic and innovative asset management organization. The Role can be based in either our Miami (preferred) or New York office.

Key Responsibilities

Regulatory Compliance

  • Assist the CCO with ongoing compliance program administration, including record keeping, filings, memorandums, testing, and review.
  • Maintain the firm's Restricted Trading List, including coordinating internal notifications.

KYC and Counterparty Management

  • Manage KYC requests and documentation for the firm and its clients, coordinating with internal stakeholders and outside counsel as needed.
  • Assist with counterparty onboarding workflows, including managing access and documentation across relevant trading and compliance platforms.
  • Maintain the internal legal entity database and manage legal documentation and correspondence for both internal and external requests.

Contract Review, Drafting and Reporting

  • Review and analyze contracts, agreements, and other legal documents to ensure accuracy and compliance.
  • Coordinate non-disclosure agreement workflows, including routing, tracking, and assisting with negotiation as directed.
  • Prepare formal written minutes for regularly occurring internal committee meetings in accordance with the firm's compliance program.
  • Manage the legal invoice intake and processing workflow, including review, approval coordination, and submission to Finance in accordance with the firm's procedures.

Entity Formation and Corporate Services

  • Manage entities, including coordinating entity formations, EIN applications, and certificates of good standing.
  • Maintain and update the firm's internal entity tracking records, organizational charts, and Directors & Officers lists on an ongoing and quarterly basis.
  • Prepare and ensure timely filing of annual corporate and compliance reports as required by state and federal agencies; track and manage associated deadlines.
  • Prepare and oversee corporate governance instruments and upkeep, including resolutions, consents, and related documentation in connection with the firm's business initiatives.

Collaboration and Communication

  • Assist with transaction matters, special projects, and related legal workstreams on an ad hoc basis, including closing sets, due diligence, legal vendor management, and onboarding initiatives.
  • Assist with general corporate legal work and communicate legal requirements to internal stakeholders, including contract review, KYC, and other routine matters.
  • Collaborate with attorneys, compliance officers, accounting, operations, administration, and other teams to provide legal support across the organization.

Qualifications

  • Bachelor's degree (B.A.) from a four-year college or university, or an equivalent combination of education and experience.
  • Minimum of 3 years’ experience at law firm, asset manager, bank, or other institution
  • Microsoft Word proficiency required.
  • Paralegal certificate preferred.
  • Certified notary preferred.
  • Excellent attention to detail.
  • Ability to read, analyze, and interpret common legal documents.
  • Ability to respond to common inquiries from other department groups, regulatory agencies, or members of the business community.
  • Effectively conduct legal research and analysis.
  • Demonstrate basic computer skills.
  • Excellent interpersonal skills and the ability to work with peers, officers, and the leadership of the company.

*The pay range listed below is dependent on individual candidate experience and skills and is based on several factors including job function, level, and geographic location. Final offer amounts are determined by multiple factors including experience and expertise, and may vary from the amounts listed here.
