Product & IP Counsel

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Product & IP Counsel based in the United States.

This role sits at the intersection of product innovation, intellectual property strategy, and emerging technology law, supporting fast-moving engineering and product teams in a highly technical cybersecurity environment. You will advise on the full product lifecycle, helping teams navigate legal risks tied to AI, data use, integrations, open-source software, and security-sensitive technologies. The position plays a key role in shaping scalable legal frameworks that enable innovation while protecting intellectual property and ensuring compliance. You will also contribute to patent, trademark, and licensing strategy, working closely with cross-functional stakeholders across engineering, security, and go-to-market teams. The environment is dynamic and collaborative, requiring both strong legal judgment and a pragmatic, business-oriented mindset. This is a high-impact role with broad exposure across product, IP, and strategic initiatives in a rapidly evolving technology landscape.

Accountabilities
  • Provide day-to-day legal guidance to product and engineering teams across the product lifecycle, including issues related to AI features, data usage, encryption, integrations, export controls, and open-source software.
  • Review product designs, architectures, and third-party integrations to identify intellectual property, security, and legal risks, and recommend practical mitigation strategies.
  • Support open-source software governance, including licensing reviews, compliance processes, and development of internal policies and tooling.
  • Contribute to IP portfolio management, including patent program support, invention disclosures, coordination with outside counsel, and trademark clearance and filings.
  • Assist in developing and reviewing IP-related commercial terms in vendor, partnership, and customer agreements, acting as a subject matter expert on product and AI clauses.
  • Support M&A and strategic transactions by conducting IP diligence and assisting with post-acquisition integration of intellectual property and technology assets.
  • Help develop scalable legal frameworks, including policies, training materials, templates, and workflows to support efficient legal operations.
Requirements
  • 5+ years of legal experience, including mandatory law firm experience and preferred in-house experience within a technology company.
  • Juris Doctor (JD) degree and active bar membership in at least one U.S. jurisdiction.
  • Strong experience in product counseling, particularly in areas such as AI, data usage, privacy, and software integrations.
  • Familiarity with intellectual property law, including at least two of the following: patents and prosecution processes, trademarks, or open-source licensing.
  • Experience supporting SaaS or cloud-based software products is strongly preferred.
  • Exposure to AI/ML technologies, data governance, or emerging tech regulatory issues is a plus.
  • Prior involvement in M&A IP diligence or technology transactions is highly desirable.
  • Excellent communication skills with the ability to translate complex legal issues into clear, actionable business guidance.
  • Strong cross-functional collaboration skills and the ability to manage multiple concurrent workstreams in a fast-paced environment.
  • Technical background in engineering or software development is considered an advantage.
